甲乙双方本着平等自愿、互利共赢的原则,就甲方向乙方销售货物事宜,经充分协商,达成如下协议,以资共同遵守。
一、协议范围和期限
1.协议范围:本协议是甲方与乙方之间关于货物分销的总纲性约定,具体分销事宜以双方签订的销售订单为准。销售订单是本协议不可分割的组成部分,与本协议具有同等法律效力;销售订单约定与本协议不一致的,以销售订单为准。
2.本协议自乙方完成亿可富系统(ECOVS)注册并经甲方审核通过之日起生效。本协议不涉及乙方与其他第三方之间的任何法律关系和法律纠纷。
二、协议终止
3.任何一方对本协议履行结果不满意的,可提前 30 日向对方发出书面通知,终止本协议;协议终止后,双方应继续履行已生效的订单义务。
4.一方严重违约,经另一方书面通知后 30 日内未纠正的,守约方有权单方终止本协议,并要求违约方赔偿损失。
5.协议终止后,双方应结清所有款项,乙方应予以配合。
三、乙方的角色
6.乙方作为买方,有权根据自身经营需求向甲方采购货物,并自行决定货物的零售价格;乙方负责对接终端消费者,提供产品咨询、物流查询等售后服务(退货处理按本协议约定执行)。
四、卖方义务
7.甲方保证向乙方提供的货物来源合法、质量合格,符合本协议及订单约定的标准,不存在假冒伪劣、权利瑕疵等问题。
8.甲方负责提供货物的相关信息,包括但不限于产品说明书、质量合格证明、图片资料等,确保信息真实、准确。
9.甲方按本协议及订单约定的价格向乙方销售货物,不得在订单执行期间随意调整价格;若因成本等因素需调整价格,应在未生成订单的状态下进行,如遇特殊情况双方协商处理。
10.甲方负责按约定安排物流交付货物,确保货物按时、安全送达乙方指定地点;物流费用承担方式按本协议约定执行。
11.甲方应在乙方支付货款后,按约定向乙方开具全额销售发票,发票信息应与订单及货物实际情况一致。
12.甲方保证对所售货物拥有合法所有权,有权依法向乙方出售;若因货物所有权问题导致乙方遭受损失,甲方应承担全部赔偿责任。
13.甲方有权对提供的货物图片、产品信息等享有专有权利,乙方仅可用于本次采购货物的销售展示,不得用于其他商业目的;未经甲方书面同意,乙方不得向第三方披露或传播该等信息。
五、订单与付款
14.乙方根据经营需求向甲方下达采购订单,订单应明确货物名称、规格、数量、交货地点、交货期限等核心内容;甲方收到订单后,应在 2 个工作日内确认,确认后订单生效。
15.付款方式:乙方采用银行转账、在线支付等双方约定的方式支付货款,支持的支付工具包括但不限于 Payoneer、Paypal 等。
16.付款期限:双方约定采用 “款到发货” 模式,乙方应在订单提交后 3 个工作日内支付全额货款;双方另有约定信用账期的,账期最长不超过 30 日,按自然月进行结算,每月 10 日前,甲方应向乙方提供上一自然月的结算对账单,列明订单号、货物名称、数量、单价、总金额、已付款金额、未付款金额等信息;乙方应在 5 个工作日内核对确认,核对无误后按约定付款。
17.因乙方支付失败、延期支付导致订单无法按时发货的,责任由乙方承担;甲方有权暂停发货,直至乙方支付货款,且不承担违约责任。
18.订单生效后,乙方不得单方取消订单;若确需取消,应提前 3 日书面通知甲方,经甲方同意后,乙方应承担订单总金额 5% 的违约金(若甲方已备货,乙方还应承担备货损失)。
六、价格与结算
19.销售价格:本协议及订单中约定的价格为甲方对乙方的销售单价,包含货物成本、包装费、关税等相关费用(物流费及当地相关税费除外,另有约定的除外)。
20.结算货币:双方约定结算货币为美元(或双方协商的其他货币),汇率按付款当日中国人民银行公布的基准汇率执行。
21.发票开具:甲方应在收到乙方货款后 10 个工作日内,向乙方开具增值税专用发票或双方约定的其他发票类型;若乙方需变更发票信息,应提前书面通知甲方。
七、交付、风险转移与退货
(一)交付
22.交货地点:双方约定交货地点为 DAP 乙方所在地(或双方约定的其他地点),甲方负责将货物运输至该地点并交由乙方或乙方指定的收货人签收。
23.交货期限:甲方应在乙方支付货款后 48 小时内安排发货,若因特殊情况需延期发货,应提前通知乙方,双方协商调整;逾期未发货的,每逾期一日,甲方应按订单总金额的 0.3% 向乙方支付违约金。
24.货物交付时,乙方应核对货物的数量、包装、外观等,签署交货确认单;若发现货物数量不足、包装破损等问题,乙方应当场提出异议,并拍照留存证据,甲方应在 3 日内处理。
(二)风险转移
25.货物在乙方或乙方指定的收货人签收后,风险转移至乙方;签收前货物发生毁损、灭失的,责任由甲方承担,甲方应免费为乙方更换货物或退还货款。
(三)退货
26.退货条件:货物自乙方签收之日起 30 日内,若存在质量问题(非乙方使用、保管不当导致),乙方有权要求退货、换货;退货时货物应保持未损坏、未磨损、包装完好、标签齐全的状态。
27.退货流程:乙方提出退货申请后,应向甲方提供相关证据(包括但不限于货物照片、检测报告等),甲方应在 3 个工作日内核实;核实无误后,甲方通知乙方退货,乙方应在 7 日内将货物退回甲方指定地点。
28.费用承担:因货物质量问题导致的退货,往返物流费用由甲方承担;因乙方自身原因(如采购错误、滞销等)导致的退货,物流费用由乙方承担,且乙方应按退货货物总金额的 10% 向甲方支付违约金。
29.甲方不接受已使用、损坏、包装破损或超出退货期限的退货申请;若乙方强行退货,甲方有权拒收,或扣除相应的损耗费用后退还货款。
八、地址错误
30.乙方应向甲方提供准确的交货地址及收货人信息;若因地址信息错误、收货人变更未及时通知导致货物无法送达、延误或退回,产生的重新装运、转运、物流等费用由乙方承担;货物因此毁损、灭失的,责任由乙方自行承担。
九、责任
31.甲方对所售货物的质量承担保证责任,若货物存在质量问题导致乙方或终端消费者遭受损失,甲方应承担全部赔偿责任;甲方承担责任后,有权向货物的上游供应商追偿。
32.甲方保证所售货物不违反任何知识产权、商标法、版权法等相关法律法规,若因货物知识产权问题导致乙方被第三方索赔,甲方应承担全部责任,包括但不限于支付赔偿金、诉讼费、律师费等,同时应消除对乙方的影响。
33.乙方负责其自身网站内容、经营行为的合法性,若因乙方违法经营导致甲方遭受损失,乙方应承担赔偿责任。
34.因不可抗力导致双方无法履行协议义务的,互不承担违约责任,但应及时通知对方,并提供相关证明。
十、修改权
35.双方有权根据实际情况修改本协议条款,修改后的协议需经双方书面确认后生效;未经双方确认的修改无效。
十一、可分割性
36.若本协议任何条款被认定为无效、违法或不可执行,不影响其他条款的有效性和可执行性,双方应按原协议精神协商替代条款。
十二、机密信息
37.双方在协议履行过程中获取的对方商业秘密(包括但不限于价格信息、订单数据、客户资料、产品技术等),应承担保密义务。
38.未经对方书面同意,任何一方不得向第三方披露、传播该等机密信息;协议有效期内及协议终止后 3 年内,保密义务持续有效。
39.因对方书面同意或国家强制性法律规定导致的机密信息披露,披露方不承担责任。
十三、有效性
40.若本协议任何条款被认定为无效、违法或不可执行,不影响其他条款的有效性和可执行性。
41.本协议的附件(包括但不限于采购订单、货物质量标准、检测报告等)是本协议不可分割的组成部分,与本协议具有同等法律效力。
42.本协议的最终解释权归泛鼎集团所有。用户在使用服务过程中如对条款内容有任何疑问,应以系统发布的最新解释或说明为准。
43.ECOVS系统有权根据业务发展、法律法规变化或运营需要,随时单方修改或更新本协议的任何内容。修改后的协议将在本系统或客户端以公告、站内信等合理方式公布,不再另行单独通知。
44.修改内容一经公布即自动生效,并对所有用户具有约束力。如用户不同意相关修改,有权在修改生效前终止合作并申请注销账户。若用户在修改生效后继续保持业务合作,即视为其已阅读、理解并完全接受修改后的协议。
十四、争议解决与适用法律
45.一切因执行本合同所发生或与本合同有关之争议,双方应友好协商解决;如协商不能解决,任何一方均有权向甲方所在地有管辖权的人民法院提起诉讼。本合同统一适用中国法律。

In accordance with the principles of equality, voluntariness and mutual benefit, Party A and Party B have, through full negotiation, reached the following agreement regarding Party A’s sale of goods to Party B, for joint compliance.
Article 1 Scope and Term of the Agreement
1.Scope of Agreement: This Agreement constitutes the master agreement governing the distribution of goods between Party A and Party B. Specific distribution matters shall be subject to the sales orders executed by both parties. The sales orders are integral parts of this Agreement and hold the same legal effect. In the event of any inconsistency between the provisions of a sales order and this Agreement, the terms of the sales order shall prevail.
2.This Agreement shall become effective from the date Party B completes registration on the ECOVS system and passes the review by Party A. This Agreement does not pertain to any legal relationships or disputes between Party B and any third parties.
Article 2 Termination of the Agreement
3.If either party is dissatisfied with the performance result of this Agreement, it may terminate this Agreement by sending a written notice to the other party 30 days in advance; after the termination of the Agreement, both parties shall continue to perform the obligations under the already effective Orders.
4.If one party commits a material breach of contract and fails to rectify it within 30 days after receiving a written notice from the other party, the non-breaching party shall have the right to unilaterally terminate this Agreement and require the breaching party to compensate for losses.
5.Upon termination of this Agreement, both parties shall settle all outstanding payments, and Party B shall cooperate with Party A in this regard.
Article 3 Role of Party B
6.As the Buyer, Party B shall have the right to purchase Goods from Party A in accordance with its own business needs and independently determine the retail price of the Goods; Party B shall be responsible for connecting with end consumers and providing after-sales services such as product consultation and logistics inquiry (return handling shall be implemented in accordance with the provisions of this Agreement).
Article 4 Obligations of the Seller
7.Party A warrants that the Goods provided to Party B have a legal source and qualified quality, conform to the standards agreed in this Agreement and the Orders, and are free from counterfeiting, shoddy products, defects in rights and other issues.
8.Party A shall be responsible for providing relevant information about the Goods, including but not limited to product manuals, quality certification documents, image materials, etc., and ensure the information is true and accurate.
9.Party A shall sell goods to Party B at the prices specified in this Agreement and the relevant Purchase Orders, and shall not arbitrarily adjust the prices during the execution of the Purchase Orders. If price adjustments are required due to cost or other factors, they shall be made before the Purchase Order is generated. Any special circumstances shall be handled through mutual negotiation between both parties.
10.Party A shall be responsible for arranging logistics delivery of the Goods in accordance with the agreement, ensuring the Goods are delivered to the location designated by Party B on time and safely; the method of bearing logistics costs shall be implemented in accordance with the provisions of this Agreement.
11.After receiving the payment from Party B, Party A shall issue a full-value sales invoice to Party B in accordance with the agreement, and the invoice information shall be consistent with the Order and the actual situation of the Goods.
12.Party A warrants that it has legal ownership of the Goods sold and the right to sell them to Party B in accordance with the law; if Party B suffers losses due to issues related to the ownership of the Goods, Party A shall bear full compensation liability.
13.Party A shall have exclusive rights to the provided Goods images, product information, etc.; Party B may only use such materials for the sales display of the Goods purchased under this Agreement, and shall not use them for other commercial purposes; without Party A’s written consent, Party B shall not disclose or disseminate such information to third parties.
Article 5 Orders and Payment
14.Party B shall issue a purchase Order to Party A in accordance with its business needs; the Order shall specify core contents such as the name, specification, quantity, delivery location and delivery period of the Goods; after receiving the Order, Party A shall confirm it within 2 working days, and the Order shall take effect upon confirmation.
15.Payment Method: Party B shall pay the purchase price through mutually agreed methods such as bank transfer and online payment; supported payment tools include but are not limited to Payoneer, Paypal, etc.
16.Payment Terms:Both parties agree to adopt the \"payment before delivery\" model. Party B shall pay the full amount of the payment within 3 business days after order submission. If the parties have otherwise agreed on a credit payment period, such period shall not exceed 30 days at most, and settlement shall be conducted by calendar month. Before the 10th day of each month, Party A shall provide Party B with a settlement statement for the previous calendar month, detailing information such as order number, product name, quantity, unit price, total amount, amount already paid, and outstanding amount. Party B shall review and confirm the statement within 5 business days and make the payment as agreed upon confirmation.
17.If the Order cannot be shipped on time due to Party B’s payment failure or delayed payment, Party B shall bear the responsibility; Party A shall have the right to suspend shipment until Party B makes the payment, and shall not bear liability for breach of contract.
18.After the Order takes effect, Party B shall not unilaterally cancel the Order; if cancellation is really necessary, Party B shall notify Party A in writing 3 days in advance, and with Party A’s consent, Party B shall bear liquidated damages equivalent to 5% of the total amount of the Order (if Party A has already prepared the Goods, Party B shall also bear the loss of goods preparation).
Article 6 Price and Settlement
19.Sales Price: The prices agreed upon in this Agreement and the Purchase Orders shall be the unit selling prices provided by Party A to Party B, which include the costs of goods, packaging fees, tariffs and other relevant expenses (excluding logistics fees and local relevant taxes and levies, unless otherwise agreed upon).
20.Settlement Currency: The parties agree that the settlement currency is US dollars (or other currencies agreed through negotiation); the exchange rate shall be implemented in accordance with the benchmark exchange rate announced by the People's Bank of China on the payment date.
21.Invoice Issuance: Party A shall issue a special VAT invoice or other types of invoices agreed by both parties to Party B within 10 working days after receiving the payment from Party B; if Party B needs to change the invoice information, it shall notify Party A in writing in advance.
Article 7 Delivery, Risk Transfer and Return of Goods
(1) Delivery
22.Delivery Location: The parties agree that the delivery location is DAP (Delivered at Place) Party B’s location (or other locations agreed by both parties); Party A shall be responsible for transporting the Goods to this location and delivering them to Party B or the consignee designated by Party B for signature.
23.Delivery Period: Party A shall arrange shipment within 48 hours after receiving the payment from Party B; if shipment needs to be delayed due to special circumstances, Party A shall notify Party B in advance and adjust through negotiation with Party B; if shipment is delayed, Party A shall pay liquidated damages to Party B at 0.3% of the total amount of the Order for each day of delay.
24.When the Goods are delivered, Party B shall check the quantity, packaging, appearance of the Goods and sign a delivery confirmation form; if problems such as insufficient quantity or damaged packaging of the Goods are found, Party B shall raise an objection on the spot and take photos to retain evidence, and Party A shall handle the issue within 3 days.
(2) Risk Transfer
25.After the Goods are signed for by Party B or the consignee designated by Party B, the risk shall be transferred to Party B; if the Goods are damaged or lost before signature, Party A shall bear the responsibility and shall replace the Goods for Party B free of charge or refund the purchase price.
(3) Return of Goods
26.Return Conditions: Within 30 days from the date when Party B signs for the Goods, if there is a quality problem (not caused by Party B's improper use or storage), Party B shall have the right to request return or exchange of the Goods; the returned Goods shall remain undamaged, unworn, with intact packaging and complete labels.
27.Return Process: After Party B submits a return application, it shall provide relevant evidence (including but not limited to Goods photos, inspection reports, etc.) to Party A; Party A shall verify within 3 working days; after verification, Party A shall notify Party B to return the Goods, and Party B shall return the Goods to the location designated by Party A within 7 days.
28.Cost Bearing: For returns caused by quality problems of the Goods, the round-trip logistics costs shall be borne by Party A; for returns caused by Party B’s own reasons (such as wrong purchase, overstock, etc.), the logistics costs shall be borne by Party B, and Party B shall pay liquidated damages to Party A at 10% of the total amount of the returned Goods.
29.Party A shall not accept return applications for used, damaged, or improperly packaged Goods, or Goods beyond the return period; if Party B returns the Goods without authorization, Party A shall have the right to refuse acceptance, or deduct the corresponding loss fee before refunding the purchase price.
Article 8 Address Error
30.Party B shall provide Party A with accurate delivery address and consignee information; if the Goods cannot be delivered, delayed or returned due to incorrect address information or failure to timely notify of consignee changes, the resulting costs of re-shipment, transshipment and logistics shall be borne by Party B; if the Goods are damaged or lost due to this, Party B shall bear the responsibility on its own.
Article 9 Liability
31.Party A shall bear the warranty liability for the quality of the sold Goods; if the Goods have quality problems that cause losses to Party B or end consumers, Party A shall bear full compensation liability; after assuming the liability, Party A shall have the right to claim compensation from the upstream supplier of the Goods.
32.Party A warrants that the sold Goods do not violate any relevant laws and regulations such as intellectual property rights, trademark law and copyright law; if Party B is claimed by a third party due to intellectual property issues of the Goods, Party A shall bear full liability, including but not limited to paying compensation, litigation fees, attorney fees, etc., and shall eliminate the impact on Party B.
33.Party B shall be responsible for the legality of its own website content and business operations; if Party A suffers losses due to Party B’s illegal operations, Party B shall bear compensation liability.
34.If both parties are unable to perform their obligations under this Agreement due to force majeure, neither party shall bear liability for breach of contract, but shall promptly notify the other party and provide relevant certificates.
Article 10 Right of Modification
35.Both parties shall have the right to modify the terms of this Agreement according to the actual situation; the modified Agreement shall take effect only after being confirmed in writing by both parties; any modification not confirmed by both parties shall be invalid.
Article 11 Severability
36.If any clause of this Agreement is determined to be invalid, illegal or unenforceable, it shall not affect the validity and enforceability of other clauses; both parties shall negotiate alternative clauses in accordance with the original spirit of the Agreement.
Article 12 Confidential Information
37.Both parties shall bear the obligation of confidentiality for the other party’s business secrets (including but not limited to price information, order data, customer information, product technology, etc.) obtained during the performance of this Agreement.
38.Without the written consent of the other party, neither party shall disclose or disseminate such confidential information to third parties; the confidentiality obligation shall remain valid during the term of the Agreement and within 3 years after the termination of the Agreement.
39.The disclosing party shall not be liable for the disclosure of confidential information caused by the written consent of the other party or mandatory national legal provisions.
Article 13 Validity
40.If any clause of this Agreement is determined to be invalid, illegal or unenforceable, it shall not affect the validity and enforceability of other clauses.
41.The appendices to this Agreement (including but not limited to purchase orders, goods quality standards, inspection reports, etc.) are integral parts of this Agreement and have the same legal effect as this Agreement.
42.The final interpretation right of this Agreement belongs to Pandion Group. If users have any questions about the terms during the use of the service, they shall refer to the latest explanations or instructions released by the system.
43.The ECOVS system has the right to unilaterally modify or update any content of this Agreement at any time according to business development, changes in laws and regulations or operational needs. The modified Agreement will be announced in a reasonable manner such as announcements and in-site messages on the system or client, and no separate notification will be given.
44.The modified content shall automatically take effect upon announcement and shall be binding on all users. If a user disagrees with the relevant modifications, he/she has the right to terminate the cooperation and apply for account cancellation before the modifications take effect. If the user continues to maintain business cooperation after the modifications take effect, it shall be deemed that he/she has read, understood and fully accepted the modified Agreement.
Article 14 Dispute Resolution and Governing Law
45.All disputes arising from the execution of this Contract or in connection with this Contract shall be settled by both parties through friendly negotiation; if the negotiation fails, either party shall have the right to bring a lawsuit to the people's court with jurisdiction at the place where Party A is located. This Contract shall be governed by the laws of China uniformly.

一.适用范围

我们仅会出于以下目的,收集和使用您的信息:
(一)您须授权我们收集和使用您信息的情形
我们的产品与/或服务包括一些核心功能,这些功能包含了实现网上购物所必需的功能及保障交易安全所必需的功能。我们可能会收集和使用下列与您有关的信息才能实现上述这些功能。如果您不提供相关信息,您将无法享受我们提供的产品与/或服务。这些功能包括:
1、实现网上购物所必需的功能
(1)用户注册认证以及忘记密码
当您注册成为平台用户时(包含供应商,分销商,服务商等)您至少需要向我们提供您准备使用的账户名、密码、您本人或者您公司联系人的手机号码、电子邮箱地址(用于验证邮箱),联系地址,第三方销售平台和商品信息等,我们将通过发送短信验证码或邮件的方式来验证您的身份是否有效。您的账户名为登录平台的账号,您可以修改和补充您的联系人,联系地址以及您的其他相关信息,这些信息均属于您的“账户信息”。
如果您是供应商,在您注册完成后,需要完成认证才可以开展业务。在认证过程中,我们会需要您提交企业或者公司相关证件。包含但不限于企业/公司法人交身份证、护照、,公司注册证书,注册号/企业信用代码,注册地址等。平台会审核您的证件信息和认证信息来确认是否认证通过。认证通过后,平台保存您的提交的证件信息,直至您注销账号,您也可以联系平台修改您的相关信息。
当您使用“忘记密码”功能时,我们可能会收集您的身份信息,包括但不限于您的账号,邮箱等,用于验证您的身份,帮您重置平台账户密码。
(2)商品信息展示和搜索
为了让您快速地找到您所需要的商品,我们可能会收集您使用我们的产品与/或服务的设备信息(语言设置和所属区域)、浏览器类型来为您提供商品信息展示的最优方式。我们也会为了不断改进和优化上述的功能来使用您的上述信息。
您也可以通过搜索来精准地找到您所需要的商品或服务。我们会保留您的搜索内容以方便您重复输入或为您展示与您搜索内容相关联的商品或服务。
请您注意,单独的设备信息、浏览器类型或仅搜索关键词信息无法识别您的身份,不属于您的信息,我们有权以任何的目的对其进行使用;只有当您的设备信息、浏览器类型或搜索关键词信息与您的其他信息相互结合使用并可以识别您的身份时,在结合使用期间,我们会将您的设备信息、浏览器类型或搜索关键词信息作为您的信息,按照本隐私协议对其进行处理与保护。
为了将您感兴趣的商品或服务信息展示给您,或在您搜索时向您展示您可能希望找到的商品或服务,我们可能会收集您的订单信息、您的兴趣爱好(您可以在账户信息中填写)。我们还可能为了提供服务及改进服务质量的合理需要而获得的您的其他信息,包括您与客服联系时您提供的相关信息,您参与问卷调查时向我们发送的问卷答复信息,以及您与我们的关联方、我们合作伙伴之间互动时我们获得的相关信息。对于从您的各种设备上收集到的信息,我们可能会将它们进行关联,以便我们能在这些设备上为您提供一致的服务。未经您的明确同意,我们不会将您的相关信息提供给第三方。
(3)帮助您完成下单及订单管理
下单时,您所购买的商品或服务信息、您应支付的货款金额及支付方式;以及其他信息包括但不限于:收货人姓名,电话、邮箱地址信息等从而确保订单可以更好完成,但不填写这些信息不影响您订单的生成。
我们将使用您的相关来进行您的身份核验、确定交易、支付结算、完成配送、为您查询订单以及提供客服咨询与售后服务。我们还会使用您的订单信息来判断您的交易是否存在异常以保护您的交易安全。
(4)帮助您完成支付/结算
为完成订单支付,您可以选择平台的关联方或合作的第三方支付机构(包括但不限于信用卡、银行账号,Paypal,Payoneer等,以下统称“支付机构”)所提供的支付服务。支付功能本身并不收集您的信息,但我们需要将您的平台订单号及交易金额信息与这些支付机构共享以实现其确认您的支付指令并完成支付。
同时为完成其他业务场景的结算,包括但不限于供应商货款结算,分销商退款结算,服务商佣金结算,物流费用结算等,我们需要所搜集您的支付机构信息(例如信用卡、银行账号,Paypal,Payoneer等),信息包括但不限于开户行,开户名称,账户等。
(5)交付产品与/或服务功能
在当您下单并选择货到付款或在线完成支付后,平台、平台的关联方、合作方或第三方配送公司(以下简称“配送公司”)将为您完成订单的交付。您知晓并同意在相关环节内使用您的订单信息以保证您的订购的商品能够安全送达。
(6)客服与售后,退货等功能
我们为您提供客服帮助,包括解决你的售前、售中、售后等客户服务范围内的服务及争议纠纷处理申请。就以上目的,我们可能是通过在线客服、电邮、电话、手机短信的推送通知与你联络。为确保效率,我们可能会在法律容许的范围内,按用户协议及付款使用条款,以自动发出的文字讯息与你联络。
为了保障您的账户及系统安全,我们需要您提供必要的信息以核验您的账户身份。
为便于与您联系、尽快帮助您解决问题或记录相关问题的处理方案及结果,我们可能会保存您与我们的沟通、通信/通话记录及相关内容(包括账户信息、订单信息、您为了证明相关事实提供的其他信息,或您留下的联系方式信息),如果您针对具体订单进行咨询、投诉或提供建议的,我们会使用您的账户信息和订单信息。
(6)接收邮件通知服务
在业务的开展过程中,为了您更好的享受平台的服务,我们将根据需要向您的邮箱发送相关通知,包括但不限于商品状态的变动,库存的变动,商品价格的更新,订单状态变动,营销广告等
(7)第三方平台数据互通
当您使用平台的商品同步,订单同步,运单号同步,API发货等涉及到第三方平台(包括但不限于第三方销售平台,第三方物流平台等)API功能时,我们会单独取的您的授权,并根据第三平台授权的要求获取您的相关信息包括但不限于域名,账户,密码,AppID、AppKey、AppSecret(不同平台要求提供的信息不一样),以实现和第三方销售平台的商品数据,订单数据,物流数据等互通。未经您的明确同意,我们不会将您的相关信息提供给第三方。
(二)您应充分知晓,以下情形中,我们收集、使用信息无需征得您的授权同意:
1、与国家安全、国防安全有关的;
2、与公共安全、公共卫生、重大公共利益有关的;
3、与犯罪侦查、起诉、审判和判决执行等有关的;
4、出于维护信息主体或其他个人的生命、财产等重大合法权益但又很难得到本人同意的;
5、所涉及的信息是信息主体或监护人自行向社会公众公开的;
6、从合法公开披露的信息中收集的您的信息的,如合法的新闻报道、政府信息公开等渠道;
7、根据您的要求签订和履行合同所必需的;
8、用于维护所提供的产品与/或服务的安全稳定运行所必需的,例如发现、处置产品与/或服务的故障;
9、为合法的新闻报道所必需的;
10、学术研究机构基于公共利益开展统计或学术研究所必要,且对外提供学术研究或描述的结果时,对结果中所包含的信息进行去标识化处理的;
11、法律法规规定的其他情形。
(三)我们从第三方获得您信息的情形
当我们从第三方获取您的信息时,会单独获得您的授权。
(四)信息使用的规则
1、我们会根据本隐私协议的约定,为实现我们的产品与/或服务功能而对所收集的信息进行使用。
2、请您了解并同意,对于您在使用我们的产品与/或服务时所提供的所有信息,除非您删除或通过系统设置拒绝我们收集,否则将被视为在您使用我们的产品与/或服务期间持续授权同意我们使用。在您注销账号时,我们将停止使用并删除您的信息,注销账号可以联系客服进行线下注销。
3、我们会对我们的产品与/或服务使用情况进行统计,并可能会与公众或第三方共享这些统计信息,以展示我们的产品与/或服务的整体使用趋势。但这些统计信息不包含您的任何身份识别信息。
4、当我们展示您的信息时,我们会采用包括内容替换、匿名处理方式对您的信息进行脱敏,以保护您的信息安全。
5、当我们要将您的信息用于本隐私协议未载明的其它用途时,或基于特定目的收集而来的信息用于其他目的时,会事先征求您的明示同意。请您理解,我们向您提供的产品与/或服务将不断更新变化。如果您选择使用本隐私协议中尚未列明的其他产品与/或服务时,我们会在收集您的信息前通过协议、页面提示等方式向您详细说明信息收集的目的、方式、范围并征求您的同意。若您不同意提供前述信息,您可能无法使用该项产品与/或服务,但不影响您使用现有产品与/或服务。
三、Cookies 和同类技术,日志文件
(一)Cookies的使用
1. 目前平台对于Cookie中的数据只采集了浏览器语言和所属地区,目的是为了更好适配顾客所在地区,用于浏览器展示更好的效果。
2、我们不会将 Cookies 用于本隐私协议所述目的之外的任何用途。您可根据自己的偏好管理或删除 Cookies。您可以清除计算机上保存的所有 Cookies,大部分网络浏览器会自动接受Cookies,但您通常可根据自己的需要来修改浏览器的设置以拒绝 Cookies;另外,您也可以清除软件内保存的所有Cookies。但如果您这么做,您可能需要在每一次访问平台全球供应链网站时亲自更改用户设置,而且您之前所记录的相应信息也均会被删除,并且可能会对您所使用服务的安全性有一定影响。
(二)日志文件
我们可以自动收集系统相关和非个人身份信息,并将其存储在日志文件中,这些日志文件由我们的web服务器自动识别。这些信息包括IP地址(在internet上标识您的计算机的唯一地址)、浏览器类型、ISP、参考/退出页面、操作系统、数据/时间戳和单击流数据。
我们可能会使用这些不识别用户的信息来分析趋势,管理我们的网站或其他网站内容。我们不会将这些自动收集的信息与个人识别信息联系起来。
五、信息的共享、转让、公开披露
(一)共享
1、我们不会与平台以外的任何公司、组织和个人共享您的信息,但以下情况除外:
(1)事先获得您明确的同意或授权;
(2)履行法定义务所必需的共享,根据适用的法律法规、法律程序的要求、强制性的行政或司法要求,以及其他法定义务履行的必需,共享您的信息;
(3)在法律法规允许的范围内,为维护平台、平台的关联方或合作伙伴、您或其他平台全球供应链用户或社会公众利益、财产或安全免遭损害而有必要提供;
(4)只有共享您的信息,才能实现我们的产品与/或服务的核心功能或提供您需要的服务;
(5)应您需求为您处理您与他人的纠纷或争议;
(6)符合与您签署的相关协议(包括在线签署的电子协议以及相应的平台规则)或其他的法律文件约定所提供;
(7)基于学术研究而使用;
(8)基于符合法律法规的社会公共利益而使用。
2、我们可能会将您的信息与我们的关联方共享。但我们只会共享必要的信息,且受本隐私协议中所声明目的的约束。我们的关联方如要改变信息的处理目的,将再次征求您的授权同意。
3、我们可能会向合作伙伴等第三方共享您的订单信息、账户信息、设备信息以及位置信息,以保障为您提供的服务顺利完成。但我们仅会出于合法、正当、必要、特定、明确的目的共享您的信息,并且只会共享提供产品/与或服务所必要的信息。我们的合作伙伴包括以下类型:
(1)商品,物流或技术服务的供应商。我们可能会将您的信息共享给支持我们功能的供应商。这些支持包括为我们供货或提供基础设施技术服务、物流配送服务、支付服务、数据处理等。我们共享这些信息的目的是可以实现我们产品与/或服务的核心购物功能,比如我们必须与物流服务供应商共享您的订单信息才能安排送货。
(2)第三方商家。我们必须将您的订单信息与交易有关的必要信息与第三方商家或者销售平台共享来实现您向其购买商品或服务的需求,并促使其可以完成后续的售后服务。
4、对我们与之共享信息的公司、组织和个人,我们会与其签署严格的保密协定,要求他们按照我们的说明、本隐私协议以及其他任何相关的保密和安全措施来处理信息。为了保障数据在第三方安全可控。
5、为了遵守法律、执行或适用我们的使用条件和其他协议,或者为了保护平台、您或其他平台全球供应链平台用户的权利及其财产或安全,不过,这并不包括违反本隐私协议中所作的承诺而为获利目的出售、出租、共享或以其它方式披露的信息。
(二)转让
我们不会将您的信息转让给任何公司、组织和个人,但以下情况除外:
1、事先获得您明确的同意或授权;
2、根据适用的法律法规、法律程序的要求、强制性的行政或司法要求所必须的情况进行提供;
3、符合与您签署的相关协议(包括在线签署的电子协议以及相应的平台规则)或其他的法律文件约定所提供;
4、在涉及合并、收购、资产转让或类似的交易时,如涉及到信息转让,我们会向您告知接收方的名称或者姓名和联系方式。接收方将继续履行本政策及其他法定义务。接收方变更原先的处理目的、处理方式的,会重新取得您的同意。
(三)公开披露
我们仅会在以下情况下,公开披露您的个人信息:
1、根据您的需求,在您明确同意的披露方式下披露您所指定的信息;
2、根据法律、法规的要求、强制性的行政执法或司法要求所必需提供您信息的情况下,我们可能会依据所要求的信息类型和披露方式公开披露您的信息。在符合法律法规的前提下,当我们收到上述披露信息的请求时,我们会要求必须出具与之相应的法律文件,如传票或调查函。我们对所有的请求都进行了慎重的审查,以确保其具备合法依据,且仅限于执法部门因特定调查目的且有合法权利获取的数据。
四、我们如何保护和保存您的信息
(一)我们保护您信息的技术与措施
我们非常重视信息安全,并采取一切合理可行的措施,保护您的信息:
1、数据安全技术措施
我们会采用符合业界标准的安全防护措施,包括建立合理的制度规范、安全技术来防止您的信息遭到未经授权的访问使用、修改,避免数据的损坏或丢失。
平台的网络服务采取了传输层安全协议等加密技术,通过https等方式提供浏览服务,确保用户数据在传输过程中的安全。
2、平台为保护信息采取的其他安全措施
平台通过建立数据分类分级制度、数据安全管理规范、数据安全开发规范来管理规范信息的存储和使用。
平台通过信息接触者保密协议、监控和审计机制来对数据进行全面安全控制。
3、我们仅允许有必要知晓这些信息的平台及平台关联方的员工、合作伙伴访问信息,并为此设置了严格的访问权限控制和监控机制。我们同时要求可能接触到您信息的所有人员履行相应的保密义务。如果未能履行这些义务,可能会被追究法律责任或被终止与平台合作关系。
4、我们会采取一切合理可行的措施,确保未收集无关的信息。
5、互联网并非绝对安全的环境,而且电子邮件、即时通讯、社交软件等与其他用户的交流方式无法确定是否完全加密,我们建议您使用此类工具时请使用复杂密码,并注意保护您的信息安全。在通过平台与第三方进行网上产品与/或服务的交易时,您不可避免的要向交易对方或潜在的交易对方披露自己的信息,如联络方式或者邮政地址等。请您妥善保护自己的信息,仅在必要的情形下向他人提供。
6、安全事件处置
为应对信息泄露、损毁和丢失等可能出现的风险,平台制定了多项制度,明确安全事件、安全漏洞的分类分级标准及相应的处理流程。平台也为安全事件建立了专门的应急响应团队,按照安全事件处置规范要求,针对不同安全事件启动安全预案,进行止损、分析、定位、制定补救措施并联合相关部门进行溯源和打击。
一旦发生信息安全事件,我们将按照法律法规的要求,及时向您告知:安全事件的基本情况和可能的影响、我们已采取或将要采取的处置措施、您可自主防范和降低风险的建议、对您的补救措施等。我们同时将及时将事件相关情况以邮件、信函、电话、推送通知等方式告知您,当难以逐一告知信息主体时,我们会采取合理、有效的方式发布公告。同时,我们还将按照监管部门要求,主动上报信息安全事件的处置情况。
7、没有系统是百分比安全的,也没有通过互联网提供的信息可以保证完全安全。因此,我们不能保证您通过互联网向我们发送或从我们接收的任何信息的绝对安全。由于超出我们合理控制范围的情况,我们的系统和您访问我们服务的通信网络可能会出现安全漏洞和故障,导致信息被非授权访问、公开披露、篡改或毁坏,导致您的合法权益受损,我们将在法律范围内承担相应的法律责任。
(二)信息的保存
1、我们在世界各地的多个司法管辖区运营并可能继续运营服务器,因此使用和存储您的数据的服务器可能不在您的司法管辖区内。您在此同意将您的数据传输到对应的服务器所在地,以实现本隐私协议中所述的目的或直接相关的目的。如果您提供与关联方有关的数据,您保证您已获得他们的同意,将其数据转移到传输到对应的服务器所在地,以实现本隐私协议中所述的目的或直接相关的目的。如果进行此类转让,则应按照适用法律的现行要求进行。

在以下情形中,您可以向我们提出删除信息的请求:
(1)如果我们处理信息的行为违反法律法规;
(2)如果我们收集、使用您的信息,却未征得您的同意;
(3)如果我们处理信息的行为违反了与您的约定;
(4)如果我们终止服务及运营。
若我们决定响应您的删除请求,我们还将同时通知从我们获得您的信息的实体,要求其及时删除,除非法律法规另有规定,或这些实体已经获得您的独立授权。若我们响应您的删除请求,我们不能保证立即从备份系统中删除相应的信息,但会在备份系统更新时删除这些信息。
3、改变您授权同意的范围或撤回您的授权
您可以通过删除信息、关闭设备功能进行隐私设置等方式改变您授权我们继续收集信息的范围或撤回您的授权。您也可以通过注销账户的方式,撤回我们继续收集您信息的全部授权。
4、取消第三方平台授权
您可以通过删除授权等功能取消第三方平台的授权,包含第三方销售平台,第三方物流平台以及平台获取的其他第三方平台
请您理解,每个业务功能需要一些基本的信息才能得以完成,当您撤回同意或授权后,我们无法继续为您提供撤回同意或授权所对应的服务,也不再处理您相应的信息。但您撤回同意或授权的决定,不会影响此前基于您的授权而开展的信息处理。
5、响应您的请求
如果您无法通过上述方式访问、更正或删除您的信息,或您需要访问、更正或删除您在使用我们产品与/或服务时所产生的其他信息,或您认为平台存在任何违反法律法规或与您关于信息的收集或使用的约定,您均可以发送电子邮件至it.ecovs@panexwd.com或通过平台的其他方式与我们联系,我们将根据适用法律的现行要求回应您所提出的请求。为了保障安全,我们可能需要您提供书面请求,或提供您的身份证明文件,我们将在收到您反馈并验证您的身份后的15天内答复您的请求。
在以下情形中,按照法律法规要求,我们将无法响应您的请求:
(1)与信息控制者履行法律法规规定的义务相关的;
(2)与国家安全、国防安全有关的;
(3)与公共安全、公共卫生、重大公共利益有关的;
(4)与刑事侦查、起诉、审判和执行判决等有关的;
(5)有充分证据表明您存在主观恶意或滥用权利的;
(6)出于维护信息主体或其他个人的生命、财产等重大合法权益但又很难得到本人同意的;
(7)响应您的请求将导致您或其他个人、组织的合法权益受到严重损害的;
(8)涉及商业秘密的。
七、未成年人的信息保护
在电子商务活动中我们推定您具有相应的民事行为能力。我们认为监督孩子使用我们的产品或服务是家长或监护人的责任。但是,我们不直接向儿童提供服务,也不将儿童的信息用于营销目的。
如果您是家长或监护人,并且您认为未成年人向平台提交了信息,可以通过it.ecovs@panexwd.com联系我们,以确保此类信息被立即删除,并取消未成年人对任何适用的平台服务的订阅。
八、通知和修订
1、为给您提供更好的服务以及随着平台业务的发展,本隐私协议也会随之更新。我们会通过在平台上发出更新版本并在生效前通过网站公告或以其他适当方式提醒您相关内容的更新,也请您访问平台以便及时了解最新的隐私协议。
2、对于重大变更,我们还会提供更为显著的通知(我们会通过包括但不限于邮件或在浏览页面做特别提示等方式,说明隐私协议的具体变更内容)。
本隐私协议所指的重大变更包括但不限于:
(1)我们的服务模式发生重大变化。如处理信息的目的、处理的信息类型、信息的使用方式等;
(2)我们在所有权结构、组织架构等方面发生重大变化。如业务调整、破产并购等引起的所有者变更等;
(3)信息共享、转让或公开披露的主要对象发生变化;
(4)您参与信息处理方面的权利及其行使方式发生重大变化;
(5)我们负责处理信息安全的责任部门、联络方式及投诉渠道发生变化时;
(6)信息安全影响评估报告表明存在高风险时。

When you register as a platform user (including suppliers, Resellers, service providers, etc.) you need to provide us with at least the account name you intend to use, password, your own or your company contact's cell phone number, e-mail address (for verification of e-mail), contact address, third-party sales platform and product information, etc., and we will send an SMS verification code or email to verify the validity of your identity. . Your account name is the account number for logging in to the Platform, and you can modify and add your contact person, contact address and other related information, which are all part of your \"Account Information\".
If you are a supplier, after you have completed your registration, you will need to complete the certification before you can conduct business. In the certification process, we will need you to submit enterprise or company related documents. Including, but not limited to, enterprise/company ID card, passport, company registration certificate, registration number/enterprise credit code, registered address. The platform will review your documents and authentication information to confirm whether the authentication is passed. After certification, the platform to save your documents submitted until you cancel the account, you can also contact the platform to modify your information.
When you use the \"Forgot Password\" function, we may collect your identity information, including but not limited to your account number, e-mail address, etc., for the purpose of verifying your identity and helping you to reset your account password on the Platform.
(2) Product information display and search
In order to enable you to quickly find the product you are looking for, we may collect information about the device (language setting and region) and browser type from which you use our products and/or services in order to provide you with the best possible way of displaying the product information. We may also use this information in order to continually improve and optimize the features described above.
You can also search to find the exact product or service you are looking for. We will retain your search to allow you to repeat your search or to show you goods or services that are related to your search.
Please note that Device Information, Browser Type or Search Keyword Information alone does not identify you and is not your information, and we have the right to use it for any purpose; only if your Device Information, Browser Type or Search Keyword Information is used in combination with other information about you and can identify you, during the period of such combined use we will treat your Device Information, Browser Type or Search Keyword Information as your information and protect it in accordance with this Privacy Agreement. Only when your device information, browser type or search term information is used in combination with other information that identifies you, we will treat your device information, browser type or search term information as your information during the period of combined use, and treat and protect it in accordance with this Privacy Agreement.
In order to show you information about goods or services you are interested in, or to show you goods or services you may wish to find when you search for them, we may collect information about your orders, your interests (which you can fill in in your account information). We may also obtain other information about you that is reasonably necessary to provide the Services and to improve the quality of the Services, including information about you when you contact customer service, information about your responses to questionnaires that you send to us when you participate in a survey, and information about your interactions with our affiliates and our partners. For information collected from your various devices, we may correlate them so that we can provide you with consistent service across those devices. We will not provide information about you to third parties without your express consent.
(3) Helping you with order placement and order management
When placing an order, the goods or services you buy information, the amount of money you should pay for the goods and payment methods; and other information including, but not limited to: the name of the consignee, phone number, e-mail address information so as to ensure that the order can be better completed, but do not fill in this information does not affect the generation of your order.
We will use your information to verify your identity, confirm the transaction, make payment, complete delivery, inquire about your order, and provide customer service and after-sales service. We will also use your order information to determine whether there is any abnormality in your transaction to protect your transaction security.
(4) Helping you with payment/settlement
In order to complete the payment of your order, you may choose the payment services provided by the Platform's affiliates or cooperating third-party payment institutions (including but not limited to credit cards, bank accounts, Paypal, Payoneer, etc., hereinafter collectively referred to as \"Payment Institutions\"). The payment function itself does not collect your information, but we need to share your platform order number and transaction amount information with these Payment Institutions in order to enable them to confirm your payment instructions and complete the payment.
Meanwhile, in order to complete the settlement of other business scenarios, including but not limited to supplier payment settlement, Reseller refund settlement, service provider commission settlement, logistics fee settlement, etc., we need to collect your payment institution information (such as credit card, bank account, Paypal, Payoneer, etc.), the information includes but is not limited to the account opening bank, the name of the account, the account and so on.
(5) Delivery of products and/or service functions
When you place an order and choose to pay by cash on delivery or complete payment online, the Platform, its affiliates, partners or third-party delivery companies (\"Delivery Companies\") will complete the delivery of your order for you. You acknowledge and agree that your order information will be used in the relevant session to ensure the safe delivery of the goods you have ordered.
(6) Customer service and after-sales service, returns and other functions
We provide you with customer service assistance, including the resolution of your pre-sale, sale, and after-sale customer service within the scope of service and dispute dispute handling applications. For the above purposes, we may be contacting you through online customer service, email, telephone, cell phone SMS push notification. To ensure efficiency, we may, to the extent permitted by law, contact you by automated text message in accordance with the User Agreement and the Terms of Use for Payment.
In order to protect the security of your account and the system, we need you to provide the necessary information to verify the identity of your account.
In order to facilitate contact with you, help you solve the problem as soon as possible or record the solution and result of the handling of the relevant issues, we may keep records of your communication, correspondence/calls with us and the related content (including account information, order information, other information you provide to prove the relevant facts, or contact information you leave), if you make inquiries, complaints or provide suggestions for specific orders, we will If you make an inquiry, complaint or offer advice about a specific order, we will use your account information and order information.
(6) Receive mail notification service
In the course of business, in order for you to better enjoy the services of the platform, we will send relevant notifications to your mailbox as needed, including but not limited to changes in product status, changes in inventory, updates to product prices, changes in order status, marketing advertisements and so on.
(7)Third-party platform data interoperability
When you use the platform's commodity synchronization, order synchronization, waybill number synchronization, API shipment and other API functions involving third-party platforms (including, but not limited to, third-party sales platforms, third-party logistics platforms, etc.), we will take your authorization individually, and according to the requirements of the third platform authorization to obtain your relevant information, including, but not limited to, domain name, account, password, AppID, AppKey, AppSecret (the information required by different platforms is not the same), in order to realize the interoperability of product data, order data, logistics data, etc. with third-party sales platforms. Without your explicit consent, we will not provide your information to third parties.
(8) You should be fully aware that your authorized consent is not required for us to collect and use information in the following circumstances:
1. Those related to national security and national defense security;
2. Those related to public safety, public health, and significant public interest;
3. Those related to the investigation, prosecution, trial and enforcement of sentences for crimes;
4. For the purpose of safeguarding the life, property and other significant legal rights and interests of the subject of the information or other individuals, but it is difficult to obtain the consent of the person himself/herself;
5. The information in question is disclosed to the public by the subject of the information or the guardian himself/herself;
6. Your information collected from legitimate public disclosure of information, such as legitimate news reports, government information disclosure and other channels;
7. Necessary to enter into and perform the contract at your request;
8. Necessary for maintaining the safe and stable operation of the products and/or services provided, such as detecting and disposing of malfunctions of the products and/or services;
9. Necessary for legitimate journalism;
10. When an academic research institution carries out statistical or academic research necessary in the public interest and provides the results of academic research or description to the outside world, the information contained in the results is de-identified;
11. Other cases stipulated by laws and regulations.
(iii) Where we obtain information about you from a third party
When we obtain information about you from a third party, we obtain your authorization separately.
(iv) Rules for the use of information
1. We may use the information collected to fulfill the functions of our products and/or services as agreed in this Privacy Agreement.
2、Please understand and agree that, for all the information you provide when using our products and/or services, unless you delete or refuse our collection through the system settings, it will be considered as a continuous authorization to agree to our use during your use of our products and/or services. We will stop using and delete your information when you cancel your account, which can be done offline by contacting customer service.
3. We may compile statistics on the use of our products and/or services and may share such statistics with the public or third parties to demonstrate overall trends in the use of our products and/or services. However, these statistics do not contain any identifying information about you.
4、When we display your information, we will use including content replacement, anonymous processing methods to desensitize your information to protect your information security.
5. When we want to use your information for purposes other than those set forth in this Privacy Agreement, or when we use the information collected for a specific purpose for other purposes, we will ask for your express consent in advance. Please understand that the products and/or services we provide to you are subject to change. If you choose to use other products and/or services that are not listed in this Privacy Agreement, we will explain to you in detail the purpose, manner, and scope of the collection of information and ask for your consent before collecting your information by means of an agreement, a page reminder, etc. If you do not consent to the provision of the aforementioned information, we will ask you to provide us with your consent. If you do not agree to provide the aforementioned information, you may not be able to use the product and/or service, but it will not affect your use of existing products and/or services.
III. Cookies and similar technologies, log files
(i) Use of Cookies
1. At present, the platform only collects the language and region of the browser for the data in the cookie, in order to better adapt to the region of the customer, and use the browser to display better effects.
2. We do not use cookies for any purpose other than those described in this Privacy Agreement. You can manage or delete cookies according to your own preferences, you can clear all cookies stored on your computer, most web browsers will automatically accept cookies, but you can usually modify the settings of your browser to reject cookies according to your own needs, and you can also clear all cookies stored in your software, but if you do so, you may need to change the user settings yourself each time you visit the Platform GSC website, and all the corresponding information you have previously recorded will be deleted, and you will not be able to access the Platform GSC website. However, if you do so, you may need to change the user settings every time you visit the Platform's GSC website, and the corresponding information you have previously recorded will also be deleted, and may have a certain impact on the security of the services you use.
(ii) Log files
We may automatically collect system-related and non-personally identifiable information and store it in log files that are automatically recognized by our web server. This information includes IP address (the unique address that identifies your computer on the internet), browser type, ISP, referring/exit pages, operating system, data/timestamps and clickstream data.
We may use this non-user-identifying information to analyze trends and administer our website or other website content. We do not link this automatically collected information to personally identifiable information.
V. Sharing, transfer and public disclosure of information
(i) Sharing
1、We will not share your information with any companies, organizations and
individuals outside the platform, except for the following cases:
(1) Obtain your prior express consent or authorization;
(2) Sharing necessary to fulfill legal obligations, sharing your information in accordance with applicable laws and regulations, legal process requirements, mandatory administrative or judicial requirements, and as necessary to fulfill other legal obligations;
(3) To the extent permitted by laws and regulations, necessary to protect the Platform, the Platform's affiliates or partners, you or other Platform Global Supply Chain users, or the public from harm to their interests, property or safety;
(4) Only by sharing your information can we realize the core functionality of our products and/or services or provide the services you need;
(5) Handling disputes or controversies between you and others for you at your request;
(6) Provided in accordance with the relevant agreements signed with you (including the electronic agreement signed online and the corresponding platform rules) or other legal documents;
(7) Used on the basis of academic research;
(8) Used in the public interest in accordance with laws and regulations.
2. We may share your information with our affiliates. However, we will only share information that is necessary and subject to the purposes stated in this Privacy Agreement. Our affiliates will ask for your authorization to change the purpose for which the information is processed.
3. We may share your order information, account information, device information and location information with third parties such as partners to ensure the successful completion of the services provided to you. However, we will only share your information for lawful, legitimate, necessary, specific and clear purposes, and will only share the information necessary to provide the products/and or services. Our partners include the following types:
(1) Suppliers of goods, logistics or technical services. We may share your information with suppliers who support our functions. Such support includes supplying us with goods or providing infrastructure technical services, logistics and distribution services, payment services, data processing, etc. We share this information to enable core shopping functions for our products and/or services, such as logistics service providers with whom we must share your order information in order to arrange delivery.
(2) Third-Party Merchants. We must share your order information and transaction-related information with third-party merchants or sales platforms as necessary to fulfill your purchase of goods or services from them and to enable them to perform subsequent after-sales services.
4. For companies, organizations and individuals with whom we share information, we sign strict confidentiality agreements with them, requiring them to handle the information in accordance with our instructions, this Privacy Agreement and any other relevant confidentiality and security measures. In order to guarantee that data is safe and controlled by third parties.
5. To comply with the law, enforce or apply our conditions of use and other agreements, or to protect the rights of the Platform, you, or other users of the Platform's Global Supply Chain Platform, and their property or safety, however, this does not include selling, renting, sharing, or otherwise disclosing information for profit in violation of the promises made in this Privacy Agreement.
(ii) Transfers
We will not transfer your information to any company, organization or individual except as follows:
1. Obtain your prior express consent or authorization;
2. Provided in accordance with applicable laws and regulations, the requirements of legal procedures, and the circumstances necessitated by mandatory administrative or judicial requirements;
3, in line with the relevant agreements signed with you (including the electronic agreement signed online and the corresponding platform rules) or other legal documents provided;
4. In the case of mergers, acquisitions, asset transfers or similar transactions involving the transfer of information, we will inform you of the name or name and contact information of the receiving party. The recipient will continue to fulfill this policy and other legal obligations. If the receiving party changes the original processing purpose or processing method, it will obtain your consent again.
(iii) Public disclosure
We will only publicly disclose your personal information in the following circumstances:
1、Disclosure of information specified by you in accordance with your needs and in the manner of disclosure to which you have expressly consented;
2. If we are required to provide information about you by law, regulation, mandatory administrative enforcement or judicial request, we may publicly disclose your information based on the type of information requested and the manner in which it is disclosed. Subject to laws and regulations, when we receive a request to disclose information as described above, we will require that legal documents, such as a subpoena or letter of inquiry, must be produced in connection with the request. We carefully review all requests to ensure that they have a legal basis and are limited to data that law enforcement has a legitimate right to obtain for specific investigative purposes.
IV. How we protect and preserve your information
(i) Our technology and measures to protect your information
We take information security very seriously and take all reasonably practicable steps to protect your information:
1. Technical measures for data security
We will use security measures that meet industry standards, including the establishment of a reasonable system of norms, security technology to prevent unauthorized access to your information to use, modify, avoid data damage or loss.
The platform's network services adopt encryption technologies such as the Transport Layer Security Protocol and provide browsing services through https and other means to ensure the security of user data in the transmission process.
2. Other security measures taken by the Platform to protect information
The platform manages and regulates the storage and use of information through the establishment of a data classification and grading system, data security management norms, and data security development norms.
The platform provides full security control of data through information contact confidentiality agreements, monitoring and auditing mechanisms.
3. We only allow employees and partners of the platform and its affiliates who have a need to know the information to access the information, and have set up strict access control and monitoring mechanisms for this purpose. We also require all personnel who may have access to your information to fulfill the corresponding confidentiality obligations. Failure to fulfill these obligations may result in legal liability or termination of the partnership with the Platform.
4. We will take all reasonably practicable measures to ensure that no irrelevant information is collected.
5. The Internet is not an absolutely secure environment, and e-mail, instant messaging, social software and other means of communication with other users cannot be sure whether they are fully encrypted, we recommend that you use complex passwords when you use such tools and pay attention to the protection of your information security. When trading online products and/or services with third parties through the Platform, you will inevitably have to disclose your information, such as contact details or postal address, to the counterparty or potential counterparty. Please protect your information properly and provide it to others only when necessary.
6. Security incident handling
In order to cope with possible risks such as information leakage, damage and loss, the platform has formulated a number of systems to clarify the classification and grading standards for security events and security breaches and the corresponding handling processes. The platform has also established a specialized emergency response team for security incidents, which, in accordance with the standard requirements for handling security incidents, activates security plans for different security incidents, stops damage, analyzes, locates, formulates remedial measures and joins hands with relevant departments for traceability and combating.
Once an information security incident occurs, we will, in accordance with the requirements of laws and regulations, promptly inform you of: the basic situation and possible impact of the security incident, the disposal measures that we have taken or will take, the suggestions that you can take on your own to prevent and minimize the risks, and the remedial measures to be taken against you. We will also promptly inform you of the situation related to the incident by email, letter, phone call, push notification, etc. When it is difficult to inform the subject of the information one by one, we will take a reasonable and effective way to make a public announcement. At the same time, we will also take the initiative to report the disposition of information security incidents in accordance with the requirements of the regulatory authorities.
7. No system is percentage secure and no information provided over the Internet can be guaranteed to be completely secure. Therefore, we cannot guarantee the absolute security of any information you send to or receive from us over the Internet. Due to circumstances beyond our reasonable control, there may be security breaches and malfunctions in our systems and in the communication networks through which you access our services, resulting in unauthorized access, public disclosure, tampering or destruction of information, leading to damage to your legitimate rights and interests, for which we will be held liable within the scope of the law.
(ii) Preservation of information
1. We operate and may continue to operate servers in multiple jurisdictions around the world, so the servers that use and store your data may not be located in your jurisdiction. You hereby consent to the transfer of your data to the corresponding server location for the purposes described in this Privacy Agreement or for directly related purposes. If you provide data in connection with an Affiliate, you warrant that you have obtained their consent to the transfer of their data to the location of the corresponding server for the purposes described in this Privacy Agreement or directly related purposes. If such transfers are made, they shall be made in accordance with the current requirements of applicable law.
We take the security of your (and associates') data seriously. We utilize and use a variety of administrative, technical and physical safeguards and security measures to protect data from accidental, unlawful or unauthorized destruction, loss, alteration, access, disclosure or use, and any other unlawful forms of processing. For example, in some of our services, we will use encryption technology (such as SSL) to protect certain sensitive information you provide to us. All data is protected and restricted to authorized personnel and subcontractors.
2. During your use of our products and/or services, your information will be stored for the period of time necessary to fulfill the purposes described in this policy, which will be determined in conjunction with the mandatory period of retention requirements under the laws of the place of storage. After the retention period has elapsed, we will delete or anonymize your information as required by applicable law.
3. If we terminate the service or operation, we will give you at least thirty days' notice and delete or anonymize your information after terminating the service or operation.
VI. Your rights
The Platform takes your concerns about your information seriously and makes every effort to protect your rights to access, correct, delete and withdraw consent to your information so that you have full ability to safeguard your privacy and security. Your rights include:

In the following cases, you may make a request to us to delete information:
(1) If our handling of information violates laws and regulations;
(2) If we collect or use your information without your consent;
(3) If we process information in breach of our agreement with you;

If we decide to respond to your deletion request, we will also notify the entities that obtained your information from us at the same time and ask them to delete it promptly, unless otherwise required by law or regulation, or unless those entities have been independently authorized by you. If we respond to your deletion request, we cannot guarantee that the corresponding information will be deleted from the backup system immediately, but will delete the information when the backup system is updated.
3. Change the scope of your authorized consent or withdraw your authorization
You may change the extent of your authorization for us to continue to collect information or revoke your authorization by deleting the information, turning off the device's features for privacy settings, and so on. You may also withdraw all authorization for us to continue to collect information about you by canceling your account.
4.Removal of third-party platform authorization
You can cancel the authorization of third-party platforms, including third-party sales platforms, third-party logistics platforms and other third-party platforms acquired by the platform, by removing the authorization and other functions.
Please understand that each business function requires some basic information in order to complete, when you withdraw your consent or authorization, we can not continue to provide you with the services corresponding to the withdrawal of consent or authorization, and no longer process your corresponding information. However, your decision to withdraw your consent or authorization will not affect the processing of information previously carried out based on your authorization.
5. Responding to your request
If you are unable to access, correct or delete your information by the means described above, or if you need to access, correct or delete other information generated by your use of our products and/or services, or if you believe that there is any violation of laws or regulations or agreements with you regarding the collection or use of information on the Platform, you can e-mail it.ecovs@panexwd.com or through the Platform's other Contact us and we will respond to your request in accordance with the current requirements of applicable law. For security purposes, we may require you to provide us with a written request or to provide documentation of your identity, and we will respond to your request within 15 days of receiving your feedback and verifying your identity.
In the following cases, as required by law or regulation, we will not be able to respond to your request:
(1) Related to the fulfillment of the obligations of information controllers under laws and regulations;
(2) Those related to national security and national defense security;
(3) Related to public safety, public health, and significant public interest;
(4) In connection with criminal investigations, prosecutions, trials and enforcement of sentences;
(5) If there is sufficient evidence of subjective malice or abuse of your rights;
(6) When it is difficult to obtain the consent of the person concerned for the purpose of safeguarding the vital legitimate rights and interests of the subject of the information or other individuals, such as life and property;
(7) Responding to your request will lead to serious damage to the legitimate rights and interests of you or other individuals or organizations;
(8) Involving trade secrets.
VII. Protection of minors' information
In e-commerce activities we presume that you have the appropriate civil capacity. We recognize that it is the responsibility of the parent or guardian to supervise a child's use of our products or services. However, we do not provide services directly to children or use children's information for marketing purposes.
If you are a parent or guardian and you believe that a Minor has submitted information to the Platform, can be done by it.ecovs@panexwd.com contacts to ensure that such information is immediately deleted and that the Minor's subscription to any applicable Platform Services is canceled.
VIII. Notifications and amendments
1. In order to provide you with better services and with the development of the business of the Platform, this Privacy Agreement will be updated. We will remind you of the update by issuing the updated version on the Platform and through website announcements or other appropriate means before it comes into effect, and we also invite you to visit the Platform in order to keep abreast of the latest Privacy Agreement.
2. For major changes, we will also provide a more prominent notice (we will explain the specific changes to the privacy agreement by means including, but not limited to, emails or special notices on the browsing page).
Material changes within the meaning of this Privacy Agreement include, but are not limited to:
(1) Significant changes in our service model. For example, the purpose for which information is processed, the type of information processed, and how the information is used;
(2) Significant changes in our ownership structure, organizational structure, etc. For example, changes in ownership due to business restructuring, bankruptcy and mergers and acquisitions, etc;
(3) Changes in the primary recipients of information sharing, transfer or public disclosure;
(4) Significant changes in your rights to participate in the processing of information and the manner in which you exercise them;
(5) In the event of a change in the department responsible for handling information security, our contact information and complaint channels;
(6) When the information security impact assessment report indicates a high risk.

甲乙双方本着平等自愿、互利共赢的原则,就甲方向乙方采购货物事宜,经充分协商,达成如下协议,以资共同遵守。
第一条 相关定义及解释
1.采购订单:指甲方根据自身经营需求,向乙方发出的包含货物名称、规格、数量、单价、交货期限等核心条款的书面采购通知,是本协议的有效组成部分。
2.货物:指本协议及采购订单中约定的,由乙方按照甲方要求提供的各类商品及相关附属配件。
3.所有权:指货物的所有权自乙方在工厂或指定地点(EXW)将货物交付给甲方或其指定承运人,并经甲方或甲方指定人验收合格后转移至甲方。
4.风险:货物毁损、灭失的风险,自乙方完成前款所述交付并验收合格后转移至甲方。
5.质量异议期:指甲方(或其海外关联方 / 客户)收到货物后,对货物质量进行检验并提出异议的合理期限,具体期限按本协议约定执行。
6.贸易术语:本协议约定的贸易术语为 EXW(工厂交货),即乙方在其工厂或指定地点将货物交由甲方或甲方指定的承运人处置时,视为交货完成(双方另有约定的,从其约定)。
第二条 协议范围及生效日期
7.协议范围:本协议是甲方与乙方之间关于货物采购的总纲性约定,具体采购事宜以双方签订的采购订单为准。采购订单是本协议不可分割的组成部分,与本协议具有同等法律效力;采购订单约定与本协议不一致的,以采购订单为准。
8.本协议自乙方完成亿可富系统(ECOVS)注册并经甲方审核通过之日起生效。本协议不涉及乙方与其他第三方之间的任何法律关系和法律纠纷。
第三条 订单与交付
9.甲方根据经营需求向乙方下达采购订单,采购订单应明确货物名称、规格型号、数量、单价、交货期限、交货地点、质量要求等核心内容。
10.乙方收到采购订单后,应在 3 个工作日内进行确认。若对采购订单内容有异议,应在确认期内书面通知甲方,双方协商调整;逾期未提出异议的,视为认可采购订单全部条款,应按采购订单约定履行交货义务。
11.乙方应按照采购订单约定的交货期限、交货地点及贸易术语要求,将货物安全、足额交付至甲方或甲方指定的承运人。交货时应随附货物合格证明、产品说明书、检测报告等相关资料。
12.乙方延期交货的,每逾期一日,应按该批订单总金额的 0.5% 向甲方支付违约金;逾期超过 15 日的,甲方有权单方解除该采购订单,并要求乙方赔偿因此造成的损失。
13.货物交付时,双方或甲方指定人应共同对货物的数量、包装及外观进行现场验收。验收合格后,货物所有权转移至甲方,风险亦随之转移,双方应签署书面验收文件。数量或包装不符合约定的,甲方有权当场提出异议,乙方应在 3 日内补足或更换;逾期未处理的,甲方有权拒收货物并要求乙方承担违约责任。
第四条 乙方的声明和保证
14.乙方是具有合法经营资格的法人实体,具备履行本协议所需的生产、供应能力,所提供的货物来源合法合规。
15.乙方提供的货物符合本协议及采购订单约定的质量标准、技术要求,符合相关国家强制性标准及行业标准,不存在质量缺陷、权利瑕疵(包括但不限于侵犯第三方知识产权、商标权、专利权等)。
16.乙方保证所提供的货物相关证明文件(包括但不限于合格证明、检测报告、发票等)真实、准确、有效,未超过有效期。
17.乙方承诺遵守诚实信用原则,不采取不正当竞争行为,不向甲方工作人员提供任何形式的商业贿赂(包括但不限于现金、礼品、回扣等),否则甲方有权立即终止本协议,并要求乙方承担违约责任。
18.乙方保证在协议履行过程中,及时更新与经营资质、联系方式相关的信息,并书面通知甲方;若因信息变更未及时通知导致甲方损失的,乙方应承担赔偿责任。
第五条 文件提交及要求
19.乙方应按照甲方要求,提交营业执照、生产许可证、产品检测报告、知识产权授权证明等相关证明文件,确保文件真实、有效、在有效期内。
20.协议期内,乙方相关证明文件发生变更的,应在变更后 7 日内书面通知甲方,并提交最新的证明文件;未及时通知或提交的,甲方有权中止本协议,直至乙方补齐相关文件,因此造成的损失由乙方承担。
21.甲方有权对乙方提交的文件进行抽查、核实,有权要求乙方补充提供相关资料;乙方拒不提供或提供的文件不符合要求的,甲方有权单方终止本协议。
第六条 质量要求及不合格品处理
(一)质量要求
22.货物应符合以下标准:
(1)符合本协议及采购订单约定的质量标准、技术参数;
(2)符合《中华人民共和国产品质量法》及货物销售地国家强制性标准;
(3)无危及人身、财产安全的缺陷,具备相应的使用性能,无隐瞒的质量瑕疵;
(4)货物及包装上的标识清晰、准确,包括但不限于产品名称、规格、成分、生产日期、保质期、警示标志等,符合相关法律法规要求。
23.乙方不得提供掺杂、掺假、以假充真、以次充好的货物,不得提供国家明令淘汰或过期的货物,不得提供假冒伪劣产品。
(二)质量异议及处理
24.甲方(或其海外关联方 / 客户)的质量异议期为在海外目的地收到货物后的 60 个自然日。甲方在异议期内发现货物质量不符合约定的,应书面通知乙方,说明异议事项及依据。
25.乙方收到质量异议通知后,应在 5 个工作日内进行核实;逾期未核实或未提出书面异议的,视为认可甲方的异议,应按甲方要求处理。
26.经核实货物确属质量不合格的,乙方应在 10 日内采取以下方式之一处理:
(1)退货:乙方自行承担往返运费,全额退还甲方已支付的该批货物货款;
(2)换货:乙方免费为甲方更换合格货物,确保更换后的货物符合约定标准,承担相关运费;
(3)扣款:双方协商一致后,按货物不合格程度相应扣除部分货款,扣款金额由双方书面确认。
27.若货物质量不合格导致甲方或第三方(包括终端消费者)遭受损失的,乙方应承担全部赔偿责任,包括但不限于直接经济损失、商誉损失、诉讼费、律师费等相关费用。
28.甲方有权对乙方提供的货物进行质量抽样检验,检验机构为双方认可的第三方专业机构,检验费用由乙方承担;检验结果显示货物合格的,检验费用由甲方承担。
第七条 费用及结算
(一)价格
29.本协议及采购订单中约定的采购单价为固定价格(基于 EXW 贸易术语),包含货物生产成本、包装费、税费等相关费用,除双方另有书面约定外,乙方不得单方调整价格。
30.同一货物的采购单价不得高于乙方提供给其他同类采购商的同期供货价格,若甲方发现乙方存在价格欺诈行为,有权要求乙方退还差价,并按差价金额的 2 倍支付违约金。
(二)支付与结算
31.支付前提:甲方就特定批次货物的付款义务,以其海外关联方或客户在海外目的地收到该批次货物、完成销售且未在第六条约定的质量异议期内提出有效质量异议为前提。
32.支付周期与方式:双方约定按自然季度进行结算。每季度首月 10 日前,乙方应根据经甲方书面确认的上一季度合格货物的交付清单,向甲方开具相应金额的【请选择:增值税专用发票 / 形式发票 / 商业发票】。甲方在收到合格发票后 30 个工作日内,以银行转账方式向乙方支付该笔货款。
33.结算币种为【请选择:人民币 / 美元 / 欧元】。因结算产生的银行手续费由双方共同承担(按国际结算惯例,国内费用由付款方承担,国外费用由收款方承担,或按双方另行书面约定的方式分担)。
34.若已结算的订单发生退货、换货或质量扣款等情况,相关款项将在下一期结算中予以调整或扣除。
第八条 知识产权
35.乙方保证所提供的货物及其相关知识产权(包括但不限于商标权、专利权、著作权等)归属清晰,已获得合法授权或许可,不会侵犯任何第三方的知识产权。
36.若因货物知识产权问题导致第三方对甲方提起诉讼、仲裁或索赔,乙方应承担全部责任,包括但不限于支付赔偿金、诉讼费、律师费等相关费用,同时应采取措施消除对甲方的影响;若甲方因此遭受损失,乙方应全额赔偿。
37.本协议有效期内,乙方不得擅自变更货物的知识产权归属或授权情况;若发生变更,应提前 15 日书面通知甲方,并确保不影响本协议的履行。
第九条 有限责任
38.乙方应保证所提供的货物符合约定的质量标准和安全要求,若因货物本身质量问题导致甲方或第三方人身、财产损失的,乙方应承担全部赔偿责任。
39.因不可抗力(包括但不限于自然灾害、战争、政策调整等)导致乙方无法按时交货的,乙方应及时通知甲方,并提供相关证明,双方协商调整交货期限;因不可抗力导致的损失,双方互不承担违约责任。
40.甲方仅对本协议约定的义务承担责任,不对乙方的经营行为、货物的后续使用等承担连带责任。
第十条 反商业贿赂规定
41.乙方不得向甲方工作人员及关联方提供任何形式的商业贿赂,包括但不限于现金、礼品、回扣、佣金、旅行、宴请等不正当利益。
42.甲方工作人员若向乙方索取不正当利益,乙方应及时向甲方书面投诉(投诉邮箱:welcome@panexwd.com),并提供相关证据,甲方将依法依规处理,并为乙方保密。
43.若乙方存在商业贿赂行为,甲方有权立即终止本协议,要求乙方支付人民币 500,000 元作为违约金,并有权向乙方追偿因此造成的损失;情节严重的,甲方将移交司法机关处理。
第十一条 保密条款
44.双方在协议履行过程中获取的对方商业秘密(包括但不限于价格信息、采购计划、技术参数、客户资料等),应承担保密义务。
45.未经对方书面同意,任何一方不得向第三方披露、传播或使用该商业秘密;协议终止后,保密义务仍然有效,直至该商业秘密成为公开信息。
46.因对方书面同意或国家强制性法律规定导致的商业秘密披露,披露方不承担责任。
第十二 条协议期限、取消和终止
47.本协议有效期为 1 年,自生效之日起计算;协议到期前 15 日内,双方无书面异议的,本协议自动延续 1 年,后续依此类推。
48.协议终止情形:
(1)双方协商一致,书面同意终止本协议;
(2)一方严重违约,经另一方书面通知后 15 日内未纠正的,守约方有权单方终止本协议;
(3)乙方破产、清算、注销的,本协议自动终止;
(4)因国家政策调整导致本协议无法履行的,双方可终止本协议,互不承担违约责任。
49.乙方存在以下情形之一的,甲方有权立即单方终止本协议:
(1)交付的货物存在严重质量问题,危害人身、财产安全的;
(2)累计 3 次以上违反本协议约定的交货义务或质量义务的;
(3)存在商业贿赂、提供虚假文件等欺诈行为的。
50.协议终止后,双方应继续履行未完成的采购订单义务;乙方应承担协议终止前因违约行为导致的责任,甲方有权追回已支付的不合格货物货款。
51.协议终止后,甲方有权保留乙方的注册信息、交易记录等数据,但无义务为乙方长期存储,且不承担相关责任。
第十三条违约责任
52.乙方违反本协议及采购订单约定的,应承担相应的违约责任,赔偿甲方因此造成的损失(包括但不限于直接经济损失、预期利润损失、商誉损失、诉讼费、律师费等)。
53.乙方交付的货物质量不合格的,除按本协议第六条约定处理外,还应按该批订单总金额的 10% 向甲方支付违约金;若违约金不足以弥补甲方损失的,乙方应补足差额。
54.乙方延期交货的,按本协议第三条约定支付违约金;逾期超过 15 日的,甲方有权解除订单,并要求乙方赔偿损失。
55.乙方提供虚假文件、隐瞒货物真实情况的,应向甲方支付该批订单总金额的 20% 作为违约金;甲方有权解除协议,并要求乙方赔偿损失。
56.乙方擅自转让本协议项下权利或义务的,甲方有权终止协议,要求乙方支付人民币 100,000 元作为违约金,并赔偿损失。
57.甲方违反本协议约定逾期支付货款的,每逾期一日,应按应付未付金额的 0.05% 向乙方支付违约金;逾期超过 30 日的,乙方有权暂停供货,直至甲方支付货款及违约金。
第十四条 不可抗力
58.因不可抗力导致一方无法履行协议义务的,受影响一方应立即通知对方,并在不可抗力发生后 15 日内提供相关证明文件。
59.双方应根据不可抗力的影响,协商调整协议履行期限或解除部分订单;因不可抗力导致的损失,双方互不承担违约责任。
60.受不可抗力影响的一方应积极采取补救措施,减少损失扩大;若未采取合理措施导致损失扩大的,应承担扩大部分的损失责任。
第十五条 有效协议及其他
61.若本协议任何条款被认定为无效、违法或不可执行,不影响其他条款的有效性和可执行性。
62.本协议的附件(包括但不限于采购订单、货物质量标准、检测报告等)是本协议不可分割的组成部分,与本协议具有同等法律效力。
63.本协议的最终解释权归泛鼎集团所有。用户在使用服务过程中如对条款内容有任何疑问,应以系统发布的最新解释或说明为准。
64.ECOVS系统有权根据业务发展、法律法规变化或运营需要,随时单方修改或更新本协议的任何内容。修改后的协议将在本系统或客户端以公告、站内信等合理方式公布,不再另行单独通知用户。
65.修改内容一经公布即自动生效,并对所有用户具有约束力。如用户不同意相关修改,有权在修改生效前终止合作并申请注销账户。若用户在修改生效后继续保持业务合作,即视为其已阅读、理解并完全接受修改后的协议。
66.一切因执行本合同所发生或与本合同有关之争议,双方应友好协商解决;如协商不能解决,任何一方均有权向甲方所在地有管辖权的人民法院提起诉讼。本合同统一适用中国法律。

In accordance with the principles of equality, voluntariness and mutual benefit, Party A and Party B have, through full negotiation, reached the following agreement regarding Party A's purchase of goods from Party B, for joint compliance.
Article 1 Relevant Definitions and Interpretations
1.Purchase Order: A written purchase notice issued by Party A to Party B in accordance with its own business needs, which includes core terms such as the name, specification, quantity, unit price and delivery period of the goods, and is an effective component of this Agreement.
2.Goods: Various commodities and related auxiliary accessories provided by Party B in accordance with the requirements of Party A as agreed in this Agreement and the Purchase Order.
3.Ownership: The ownership of the Goods shall be transferred to Party A upon Party B's delivery of the Goods to Party A or its designated carrier at the factory or designated location (EXW) and after Party A or its designee's acceptance and approval of the Goods.
4.Risk: The risk of damage to or loss of the Goods shall be transferred to Party A upon Party B's completion of the delivery as described in the preceding paragraph and the acceptance and approval of the Goods.
5.Quality Objection Period: A reasonable period for Party A (or its overseas affiliates/customers) to inspect the quality of the Goods and raise objections after receiving the Goods; the specific period shall be implemented in accordance with the provisions of this Agreement.
6.Incoterms: The Incoterms agreed in this Agreement is EXW (Ex Works), which means that delivery shall be deemed completed when Party B delivers the Goods to Party A or the carrier designated by Party A at its factory or designated location (unless otherwise agreed by both parties).
Article 2 Scope of the Agreement and Effective Date
7.Scope of the Agreement: This Agreement is a general agreement on goods purchase between Party A and Party B; the specific purchase matters shall be subject to the Purchase Order signed by both parties. The Purchase Order is an indivisible part of this Agreement and has the same legal effect as this Agreement; if there is any inconsistency between the provisions of the Purchase Order and this Agreement, the Purchase Order shall prevail.
8.This Agreement shall take effect on the date when Party B completes the registration of the ECOVS (ECOVS System) and passes the review of Party A. This Agreement does not involve any legal relations or legal disputes between Party B and any other third parties.
Article 3 Orders and Delivery
9.Party A shall issue a Purchase Order to Party B in accordance with its business needs; the Purchase Order shall specify core contents such as the name, specification model, quantity, unit price, delivery period, delivery location and quality requirements of the Goods.
10.After receiving the Purchase Order, Party B shall confirm it within 3 working days. If Party B has any objection to the content of the Purchase Order, it shall notify Party A in writing within the confirmation period, and both parties shall negotiate and adjust; if no objection is raised within the time limit, Party B shall be deemed to have recognized all terms of the Purchase Order and shall perform the delivery obligation in accordance with the provisions of the Purchase Order.
11.Party B shall deliver the Goods safely and in full to Party A or the carrier designated by Party A in accordance with the delivery period, delivery location and Incoterms requirements agreed in the Purchase Order. When delivering the Goods, Party B shall attach relevant materials such as the Goods' qualification certificate, product manual and inspection report.
12.If Party B delays the delivery, it shall pay liquidated damages to Party A at 0.5% of the total amount of the batch of orders for each day of delay; if the delay exceeds 15 days, Party A shall have the right to unilaterally terminate the Purchase Order and require Party B to compensate for the losses caused thereby.
13.When the Goods are delivered, both parties or the designee of Party A shall jointly inspect the quantity, packaging, and appearance of the Goods on site. Upon acceptance and approval, the ownership and risk of the Goods shall be transferred to Party A, and both parties shall sign a written acceptance document. If the quantity or packaging does not conform to the agreement, Party A shall have the right to raise an objection on the spot, and Party B shall make up the shortage or replace the Goods within 3 days; if no handling is done within the time limit, Party A shall have the right to refuse to accept the Goods and require Party B to bear the liability for breach of contract.
Article 4 Representations and Warranties of Party B
14.Party B is a legal entity with legal business qualifications, has the production and supply capacity required to perform this Agreement, and the source of the Goods provided is legal and compliant.
15.The Goods provided by Party B conform to the quality standards and technical requirements agreed in this Agreement and the Purchase Order, comply with relevant national mandatory standards and industry standards, and are free from quality defects and defects in rights (including but not limited to infringement of third-party intellectual property rights, trademark rights, patent rights, etc.).
16.Party B warrants that the relevant certification documents of the Goods provided (including but not limited to qualification certificates, inspection reports, invoices, etc.) are true, accurate, valid and within the validity period.
17.Party B undertakes to abide by the principle of good faith, not to engage in unfair competition, and not to provide any form of commercial bribery (including but not limited to cash, gifts, kickbacks, etc.) to the staff of Party A; otherwise, Party A shall have the right to immediately terminate this Agreement and require Party B to bear the liability for breach of contract.
18.Party B warrants that during the performance of this Agreement, it shall promptly update the information related to its business qualifications and contact information and notify Party A in writing; if Party A suffers losses due to failure to promptly notify of information changes, Party B shall bear the compensation liability.
Article 5 Submission of Documents and Requirements
19.Party B shall submit relevant certification documents such as business license, production license, product inspection report and intellectual property authorization certificate in accordance with the requirements of Party A, and ensure that the documents are true, valid and within the validity period.
20.During the term of this Agreement, if there is any change in the relevant certification documents of Party B, Party B shall notify Party A in writing within 7 days after the change and submit the latest certification documents; if the notification or submission is not made in a timely manner, Party A shall have the right to suspend this Agreement until Party B supplements the relevant documents, and Party B shall bear the losses caused thereby.
21.Party A shall have the right to conduct random inspections and verification on the documents submitted by Party B, and have the right to require Party B to supplement and provide relevant materials; if Party B refuses to provide or the provided documents do not meet the requirements, Party A shall have the right to unilaterally terminate this Agreement.
Article 6 Quality Requirements and Handling of Non-Conforming Goods
(1)Quality Requirements
22.The Goods shall comply with the following standards:
(1)Comply with the quality standards and technical parameters agreed in this Agreement and the Purchase Order;
(2)Comply with the Product Quality Law of the People's Republic of China and the national mandatory standards of the country where the Goods are sold;
(3)No defects endangering personal or property safety, with corresponding service performance and no concealed quality defects;
(4)The marks on the Goods and their packaging are clear and accurate, including but not limited to product name, specification, composition, production date, shelf life, warning signs, etc., which comply with the requirements of relevant laws and regulations.
23.Party B shall not provide Goods that are adulterated, shoddy, counterfeit, or passed off as qualified; shall not provide Goods that are explicitly eliminated by the state or expired; and shall not provide counterfeit and shoddy products.
(2)Quality Objections and Handling
24.Party A's (or its overseas affiliates/customers') quality objection period is 60 calendar days after receiving the Goods at the overseas destination. If Party A finds that the quality of the Goods does not conform to the agreement within the objection period, it shall notify Party B in writing, stating the objection matters and basis.
25.After receiving the notice of quality objection, Party B shall verify it within 5 working days; if no verification is made or no written objection is raised within the time limit, Party B shall be deemed to have recognized Party A's objection and shall handle it in accordance with Party A's requirements.
26.If it is verified that the Goods are indeed of unqualified quality, Party B shall take one of the following measures within 10 days:
(1)Return of Goods: Party B shall bear the round-trip freight by itself and fully refund the purchase price of the batch of Goods already paid by Party A;
(2)Replacement of Goods: Party B shall replace the unqualified Goods with qualified ones for Party A free of charge, ensure that the replaced Goods conform to the agreed standards, and bear the relevant freight;
(3)Deduction of Payment: After reaching an agreement through negotiation, a portion of the purchase price shall be deducted according to the degree of unqualified Goods, and the deduction amount shall be confirmed in writing by both parties.
27.If the unqualified quality of the Goods causes losses to Party A or a third party (including end consumers), Party B shall bear the full compensation liability, including but not limited to direct economic losses, goodwill losses, litigation fees, attorney fees and other related expenses.
28.Party A shall have the right to conduct random quality inspection on the Goods provided by Party B; the inspection institution shall be a third-party professional institution recognized by both parties, and the inspection fee shall be borne by Party B; if the inspection result shows that the Goods are qualified, the inspection fee shall be borne by Party A.
Article 7 Expenses and Settlement
(1)Price
29.The purchase unit price agreed in this Agreement and the Purchase Order is a fixed price (based on EXW Incoterms), which includes the production cost, packaging fee, taxes and other related expenses of the Goods; except as otherwise agreed in writing by both parties, Party B shall not adjust the price unilaterally.
30.The purchase unit price of the same Goods shall not be higher than the concurrent supply price provided by Party B to other similar purchasers; if Party A finds that Party B has committed price fraud, it shall have the right to require Party B to refund the price difference and pay liquidated damages twice the amount of the price difference.
(2)Payment and Settlement
31.Payment Condition: Party A's obligation to pay for a specific batch of Goods is conditional upon Party A's overseas affiliate or customer having received the batch of Goods at the overseas destination, completed the sale, and not raised a valid quality objection within the quality objection period stipulated in Article 6.
32.Payment Cycle and Method: Both parties agree to settle accounts on a calendar quarter basis. Before the 10th day of the first month of each quarter, Party B shall issue an invoice of the corresponding amount 【Please choose: special VAT invoice / proforma invoice / commercial invoice】 to Party A based on the delivery list of qualified Goods from the previous quarter confirmed in writing by Party A. Party A shall pay the purchase price to Party B by bank transfer within 30 working days after receiving the qualified invoice.
33.The settlement currency shall be 【Please choose: RMB/USD/EUR】. Bank handling fees arising from settlement shall be borne jointly by both parties (according to international settlement practice, domestic fees shall be borne by the payer and foreign fees by the payee, or as otherwise agreed in writing by both parties).
34.If returns, replacements, or quality-related deductions occur for settled orders, the relevant amounts shall be adjusted or deducted in the next settlement period.
Article 8 Intellectual Property Rights
35.Party B warrants that the ownership of the Goods provided and their related intellectual property rights (including but not limited to trademark rights, patent rights, copyrights, etc.) is clear, and that it has obtained legal authorization or permission, and will not infringe any third-party intellectual property rights.
36.If a third party initiates a lawsuit, arbitration or claim against Party A due to the intellectual property rights of the Goods, Party B shall bear the full liability, including but not limited to paying compensation, litigation fees, attorney fees and other related expenses, and shall take measures to eliminate the impact on Party A; if Party A suffers losses thereby, Party B shall make full compensation.
37.During the term of this Agreement, Party B shall not arbitrarily change the ownership or authorization status of the intellectual property rights of the Goods; if any change occurs, Party B shall notify Party A in writing 15 days in advance and ensure that the performance of this Agreement is not affected.
Article 9 Limited Liability
38.Party B shall ensure that the Goods provided conform to the agreed quality standards and safety requirements; if the quality problem of the Goods themselves causes personal or property losses to Party A or a third party, Party B shall bear the full compensation liability.
39.If Party B is unable to deliver the Goods on time due to force majeure (including but not limited to natural disasters, wars, policy adjustments, etc.), Party B shall promptly notify Party A and provide relevant certificates, and both parties shall negotiate to adjust the delivery period; neither party shall bear the liability for breach of contract for losses caused by force majeure.
40.Party A shall only bear liability for the obligations agreed in this Agreement, and shall not bear joint liability for Party B's business operations or the subsequent use of the Goods.
Article 10 Anti-Commercial Bribery Provisions
41.Party B shall not provide any form of commercial bribery to the staff of Party A and its related parties, including but not limited to cash, gifts, kickbacks, commissions, travel, banquets and other improper benefits.
42.If the staff of Party A demands improper benefits from Party B, Party B shall promptly file a written complaint with Party A (complaint email: welcome@panexwd.com) and provide relevant evidence; Party A shall handle it in accordance with laws and regulations and keep it confidential for Party B.
43.If Party B engages in commercial bribery, Party A shall have the right to immediately terminate this Agreement, require Party B to pay RMB 500,000 as liquidated damages, and have the right to recover the losses caused thereby from Party B; if the circumstances are serious, Party A shall transfer the case to the judicial authorities for handling.
Article 11 Confidentiality Clause
44.Both parties shall bear the obligation of confidentiality for the other party's business secrets (including but not limited to price information, purchase plans, technical parameters, customer information, etc.) obtained during the performance of this Agreement.
45.Without the written consent of the other party, neither party shall disclose, disseminate or use the business secrets to any third party; after the termination of this Agreement, the confidentiality obligation shall remain valid until the business secrets become public information.
46.The disclosing party shall not be liable for the disclosure of business secrets caused by the written consent of the other party or mandatory national legal provisions.
Article 12 Term, Cancellation and Termination of the Agreement
47.The term of this Agreement is 1 year, calculated from the effective date; if neither party raises a written objection within 15 days before the expiration of the Agreement, this Agreement shall be automatically extended for 1 year, and so on.
48.Circumstances for Termination of the Agreement:
(1)Both parties reach an agreement through negotiation and agree to terminate this Agreement in writing;
(2)One party seriously breaches the contract and fails to correct it within 15 days after being notified in writing by the other party, and the observant party has the right to unilaterally terminate this Agreement;
(3)This Agreement shall be automatically terminated if Party B goes bankrupt, liquidates or cancels its registration;
(4)If this Agreement cannot be performed due to national policy adjustments, both parties may terminate this Agreement without bearing the liability for breach of contract.
49.Party A shall have the right to immediately terminate this Agreement unilaterally if Party B is in any of the following circumstances:
(1)The delivered Goods have serious quality problems that endanger personal or property safety;
(2)Violating the delivery obligation or quality obligation agreed in this Agreement for more than 3 times in total;
(3)Engaging in fraudulent acts such as commercial bribery or providing false documents.
50.After the termination of this Agreement, both parties shall continue to perform the obligations of the unfinished Purchase Orders; Party B shall bear the liability for breaches of contract before the termination of the Agreement, and Party A shall have the right to recover the purchase price paid for the unqualified Goods.
51.After the termination of this Agreement, Party A shall have the right to retain Party B's registration information, transaction records and other data, but has no obligation to store them for Party B for a long time and shall not bear relevant liabilities.
Article 13 Liability for Breach of Contract
52.If Party B violates the provisions of this Agreement and the Purchase Order, it shall bear the corresponding liability for breach of contract and compensate Party A for the losses caused thereby (including but not limited to direct economic losses, expected profit losses, goodwill losses, litigation fees, attorney fees, etc.).
53.If the quality of the Goods delivered by Party B is unqualified, in addition to handling in accordance with the provisions of Article 6 of this Agreement, Party B shall also pay liquidated damages to Party A at 10% of the total amount of the batch of orders; if the liquidated damages are insufficient to cover Party A's losses, Party B shall make up the difference.
54.If Party B delays delivery, it shall pay liquidated damages in accordance with the provisions of Article 3 of this Agreement; if the delay exceeds 15 days, Party A shall have the right to terminate the Order and require Party B to compensate for the losses.
55.If Party B provides false documents or conceals the true situation of the Goods, it shall pay liquidated damages to Party A at 20% of the total amount of the batch of orders; Party A shall have the right to terminate the Agreement and require Party B to compensate for the losses.
56.If Party B arbitrarily transfers the rights or obligations under this Agreement, Party A shall have the right to terminate the Agreement, require Party B to pay RMB 100,000 as liquidated damages, and compensate for the losses.
57.If Party A delays the payment of the purchase price in violation of the provisions of this Agreement, it shall pay liquidated damages to Party B at 0.05% of the unpaid amount for each day of delay; if the delay exceeds 30 days, Party B shall have the right to suspend the supply of Goods until Party A pays the purchase price and liquidated damages.
Article 14 Force Majeure
58.If one party is unable to perform its obligations under this Agreement due to force majeure, the affected party shall immediately notify the other party and provide relevant certification documents within 15 days after the occurrence of force majeure.
59.Both parties shall negotiate to adjust the performance period of the Agreement or terminate part of the Orders according to the impact of force majeure; neither party shall bear the liability for breach of contract for losses caused by force majeure.
60.The party affected by force majeure shall actively take remedial measures to reduce the expansion of losses; if reasonable measures are not taken to cause the expansion of losses, the party shall bear the liability for the expanded part of the losses.
Article 15 Valid Agreement and Others
61.If any clause of this Agreement is determined to be invalid, illegal or unenforceable, it shall not affect the validity and enforceability of other clauses.
62.The attachments to this Agreement (including but not limited to Purchase Orders, Goods quality standards, inspection reports, etc.) are indivisible parts of this Agreement and have the same legal effect as this Agreement.
63.The right to the final interpretation of this Agreement shall vest in Panex WD International Group. If users have any questions about the terms during the use of the services, the latest interpretation or explanation published on the system shall prevail.
64.The ECOVS System reserves the right to unilaterally modify or update any content of this Agreement at any time in light of business development, changes in laws and regulations, or operational requirements. The revised Agreement will be published in a reasonable manner such as announcements or in-system messages on the System or its client terminal, and no separate notice will be sent to users individually.
65.Once published, the revised content shall take effect automatically and be binding on all users. If a user disagrees with the relevant revisions, he or she shall have the right to terminate the cooperation and apply for account cancellation before the revisions take effect. If a user continues the business cooperation after the revisions take effect, such act shall be deemed as his or her having read, understood and fully accepted the revised Agreement.
66.All disputes arising from the execution of this Contract or in connection with this Contract shall be settled by both parties through friendly negotiation; if the negotiation fails, either party shall have the right to bring a lawsuit to the people's court with jurisdiction at the place where Party A is located. This Contract shall be governed by the laws of China uniformly.

一.适用范围
请您特别注意:本隐私协议适用于我们现阶段以网站为主以及今后可能出现的,客户端,手机端,小程序,随技术发展出现的新形态向您提供的各项产品和服务。如我们及关联公司的产品或服务中使用了平台的产品或服务,但未设独立隐私权政策的,则本政策同样适用于该部分产品或服务。
二、数据的收集和使用
在您使用我们的产品/服务时,我们需要/可能需要收集和使用的您的个人信息包括但不限于:基本信息(包括个人中文姓名、个人英文姓名,联系地址、个人电话号码、电子邮箱等);个人身份信息(包括身份证、护照、港澳通行证、港澳居民往来内地通行证、大陆居民往来台湾通行证、台湾居民往来大陆通行证、外国人出入境证、驾驶证);网络身份标识信息(包括信息主体账号、IP地址、个人数字证书);个人财产信息(包括订单信息和消费记录、仓库出/入库单信息,发票邮寄信息,开户行信息,充值信息、充值币种、余额);银行账号和第三方支付平台信息(包括但是不限于信用卡、银行账号,Paypal,Payoneer等);个人位置信息(用户所在时区和国家城市区域);第三方平台信息,包括第三方销售平台,物流平台,其他等业务开展必须的平台,包括但不限于第三方平台域名,账户,密码,销售商品信息,AppID、AppKey、AppSecret
我们仅会出于以下目的,收集和使用您的信息:
(一)您须授权我们收集和使用您信息的情形
我们的产品与/或服务包括一些核心功能,这些功能包含了实现网上购物所必需的功能及保障交易安全所必需的功能。我们可能会收集和使用下列与您有关的信息才能实现上述这些功能。如果您不提供相关信息,您将无法享受我们提供的产品与/或服务。这些功能包括:
1、实现网上购物所必需的功能
(1)用户注册认证以及忘记密码
当您注册成为平台用户时(包含供应商,分销商,服务商等)您至少需要向我们提供您准备使用的账户名、密码、您本人或者您公司联系人的手机号码、电子邮箱地址(用于验证邮箱),联系地址,第三方销售平台和商品信息等,我们将通过发送短信验证码或邮件的方式来验证您的身份是否有效。您的账户名为登录平台的账号,您可以修改和补充您的联系人,联系地址以及您的其他相关信息,这些信息均属于您的“账户信息”。
如果您是供应商,在您注册完成后,需要完成认证才可以开展业务。在认证过程中,我们会需要您提交企业或者公司相关证件。包含但不限于企业/公司法人交身份证、护照、,公司注册证书,注册号/企业信用代码,注册地址等。平台会审核您的证件信息和认证信息来确认是否认证通过。认证通过后,平台保存您的提交的证件信息,直至您注销账号,您也可以联系平台修改您的相关信息。
当您使用“忘记密码”功能时,我们可能会收集您的身份信息,包括但不限于您的账号,邮箱等,用于验证您的身份,帮您重置平台账户密码。
(2)商品信息展示和搜索
为了让您快速地找到您所需要的商品,我们可能会收集您使用我们的产品与/或服务的设备信息(语言设置和所属区域)、浏览器类型来为您提供商品信息展示的最优方式。我们也会为了不断改进和优化上述的功能来使用您的上述信息。
您也可以通过搜索来精准地找到您所需要的商品或服务。我们会保留您的搜索内容以方便您重复输入或为您展示与您搜索内容相关联的商品或服务。
请您注意,单独的设备信息、浏览器类型或仅搜索关键词信息无法识别您的身份,不属于您的信息,我们有权以任何的目的对其进行使用;只有当您的设备信息、浏览器类型或搜索关键词信息与您的其他信息相互结合使用并可以识别您的身份时,在结合使用期间,我们会将您的设备信息、浏览器类型或搜索关键词信息作为您的信息,按照本隐私协议对其进行处理与保护。
为了将您感兴趣的商品或服务信息展示给您,或在您搜索时向您展示您可能希望找到的商品或服务,我们可能会收集您的订单信息、您的兴趣爱好(您可以在账户信息中填写)。我们还可能为了提供服务及改进服务质量的合理需要而获得的您的其他信息,包括您与客服联系时您提供的相关信息,您参与问卷调查时向我们发送的问卷答复信息,以及您与我们的关联方、我们合作伙伴之间互动时我们获得的相关信息。对于从您的各种设备上收集到的信息,我们可能会将它们进行关联,以便我们能在这些设备上为您提供一致的服务。未经您的明确同意,我们不会将您的相关信息提供给第三方。
(3)帮助您完成下单及订单管理
下单时,您所购买的商品或服务信息、您应支付的货款金额及支付方式;以及其他信息包括但不限于:收货人姓名,电话、邮箱地址信息等从而确保订单可以更好完成,但不填写这些信息不影响您订单的生成。
我们将使用您的相关来进行您的身份核验、确定交易、支付结算、完成配送、为您查询订单以及提供客服咨询与售后服务。我们还会使用您的订单信息来判断您的交易是否存在异常以保护您的交易安全。
(4)帮助您完成支付/结算
为完成订单支付,您可以选择平台的关联方或合作的第三方支付机构(包括但不限于信用卡、银行账号,Paypal,Payoneer等,以下统称“支付机构”)所提供的支付服务。支付功能本身并不收集您的信息,但我们需要将您的平台订单号及交易金额信息与这些支付机构共享以实现其确认您的支付指令并完成支付。
同时为完成其他业务场景的结算,包括但不限于供应商货款结算,分销商退款结算,服务商佣金结算,物流费用结算等,我们需要所搜集您的支付机构信息(例如信用卡、银行账号,Paypal,Payoneer等),信息包括但不限于开户行,开户名称,账户等。
(5)交付产品与/或服务功能
在当您下单并选择货到付款或在线完成支付后,平台、平台的关联方、合作方或第三方配送公司(以下简称“配送公司”)将为您完成订单的交付。您知晓并同意在相关环节内使用您的订单信息以保证您的订购的商品能够安全送达。
(6)客服与售后,退货等功能
我们为您提供客服帮助,包括解决你的售前、售中、售后等客户服务范围内的服务及争议纠纷处理申请。就以上目的,我们可能是通过在线客服、电邮、电话、手机短信的推送通知与你联络。为确保效率,我们可能会在法律容许的范围内,按用户协议及付款使用条款,以自动发出的文字讯息与你联络。
为了保障您的账户及系统安全,我们需要您提供必要的信息以核验您的账户身份。
为便于与您联系、尽快帮助您解决问题或记录相关问题的处理方案及结果,我们可能会保存您与我们的沟通、通信/通话记录及相关内容(包括账户信息、订单信息、您为了证明相关事实提供的其他信息,或您留下的联系方式信息),如果您针对具体订单进行咨询、投诉或提供建议的,我们会使用您的账户信息和订单信息。
(6)接收邮件通知服务
在业务的开展过程中,为了您更好的享受平台的服务,我们将根据需要向您的邮箱发送相关通知,包括但不限于商品状态的变动,库存的变动,商品价格的更新,订单状态变动,营销广告等
(7)第三方平台数据互通
当您使用平台的商品同步,订单同步,运单号同步,API发货等涉及到第三方平台(包括但不限于第三方销售平台,第三方物流平台等)API功能时,我们会单独取的您的授权,并根据第三平台授权的要求获取您的相关信息包括但不限于域名,账户,密码,AppID、AppKey、AppSecret(不同平台要求提供的信息不一样),以实现和第三方销售平台的商品数据,订单数据,物流数据等互通。未经您的明确同意,我们不会将您的相关信息提供给第三方。
(二)您应充分知晓,以下情形中,我们收集、使用信息无需征得您的授权同意:
1、与国家安全、国防安全有关的;
2、与公共安全、公共卫生、重大公共利益有关的;
3、与犯罪侦查、起诉、审判和判决执行等有关的;
4、出于维护信息主体或其他个人的生命、财产等重大合法权益但又很难得到本人同意的;
5、所涉及的信息是信息主体或监护人自行向社会公众公开的;
6、从合法公开披露的信息中收集的您的信息的,如合法的新闻报道、政府信息公开等渠道;
7、根据您的要求签订和履行合同所必需的;
8、用于维护所提供的产品与/或服务的安全稳定运行所必需的,例如发现、处置产品与/或服务的故障;
9、为合法的新闻报道所必需的;
10、学术研究机构基于公共利益开展统计或学术研究所必要,且对外提供学术研究或描述的结果时,对结果中所包含的信息进行去标识化处理的;
11、法律法规规定的其他情形。
(三)我们从第三方获得您信息的情形
当我们从第三方获取您的信息时,会单独获得您的授权。
(四)信息使用的规则
1、我们会根据本隐私协议的约定,为实现我们的产品与/或服务功能而对所收集的信息进行使用。
2、请您了解并同意,对于您在使用我们的产品与/或服务时所提供的所有信息,除非您删除或通过系统设置拒绝我们收集,否则将被视为在您使用我们的产品与/或服务期间持续授权同意我们使用。在您注销账号时,我们将停止使用并删除您的信息,注销账号可以联系客服进行线下注销。
3、我们会对我们的产品与/或服务使用情况进行统计,并可能会与公众或第三方共享这些统计信息,以展示我们的产品与/或服务的整体使用趋势。但这些统计信息不包含您的任何身份识别信息。
4、当我们展示您的信息时,我们会采用包括内容替换、匿名处理方式对您的信息进行脱敏,以保护您的信息安全。
5、当我们要将您的信息用于本隐私协议未载明的其它用途时,或基于特定目的收集而来的信息用于其他目的时,会事先征求您的明示同意。请您理解,我们向您提供的产品与/或服务将不断更新变化。如果您选择使用本隐私协议中尚未列明的其他产品与/或服务时,我们会在收集您的信息前通过协议、页面提示等方式向您详细说明信息收集的目的、方式、范围并征求您的同意。若您不同意提供前述信息,您可能无法使用该项产品与/或服务,但不影响您使用现有产品与/或服务。
三、Cookies 和同类技术,日志文件
(一)Cookies的使用
1. 目前平台对于Cookie中的数据只采集了浏览器语言和所属地区,目的是为了更好适配顾客所在地区,用于浏览器展示更好的效果。
2、我们不会将 Cookies 用于本隐私协议所述目的之外的任何用途。您可根据自己的偏好管理或删除 Cookies。您可以清除计算机上保存的所有 Cookies,大部分网络浏览器会自动接受Cookies,但您通常可根据自己的需要来修改浏览器的设置以拒绝 Cookies;另外,您也可以清除软件内保存的所有Cookies。但如果您这么做,您可能需要在每一次访问平台全球供应链网站时亲自更改用户设置,而且您之前所记录的相应信息也均会被删除,并且可能会对您所使用服务的安全性有一定影响。
(二)日志文件
我们可以自动收集系统相关和非个人身份信息,并将其存储在日志文件中,这些日志文件由我们的web服务器自动识别。这些信息包括IP地址(在internet上标识您的计算机的唯一地址)、浏览器类型、ISP、参考/退出页面、操作系统、数据/时间戳和单击流数据。
我们可能会使用这些不识别用户的信息来分析趋势,管理我们的网站或其他网站内容。我们不会将这些自动收集的信息与个人识别信息联系起来。
五、信息的共享、转让、公开披露
(一)共享
1、我们不会与平台以外的任何公司、组织和个人共享您的信息,但以下情况除外:
(1)事先获得您明确的同意或授权;
(2)履行法定义务所必需的共享,根据适用的法律法规、法律程序的要求、强制性的行政或司法要求,以及其他法定义务履行的必需,共享您的信息;
(3)在法律法规允许的范围内,为维护平台、平台的关联方或合作伙伴、您或其他平台全球供应链用户或社会公众利益、财产或安全免遭损害而有必要提供;
(4)只有共享您的信息,才能实现我们的产品与/或服务的核心功能或提供您需要的服务;
(5)应您需求为您处理您与他人的纠纷或争议;
(6)符合与您签署的相关协议(包括在线签署的电子协议以及相应的平台规则)或其他的法律文件约定所提供;
(7)基于学术研究而使用;
(8)基于符合法律法规的社会公共利益而使用。
2、我们可能会将您的信息与我们的关联方共享。但我们只会共享必要的信息,且受本隐私协议中所声明目的的约束。我们的关联方如要改变信息的处理目的,将再次征求您的授权同意。
3、我们可能会向合作伙伴等第三方共享您的订单信息、账户信息、设备信息以及位置信息,以保障为您提供的服务顺利完成。但我们仅会出于合法、正当、必要、特定、明确的目的共享您的信息,并且只会共享提供产品/与或服务所必要的信息。我们的合作伙伴包括以下类型:
(1)商品,物流或技术服务的供应商。我们可能会将您的信息共享给支持我们功能的供应商。这些支持包括为我们供货或提供基础设施技术服务、物流配送服务、支付服务、数据处理等。我们共享这些信息的目的是可以实现我们产品与/或服务的核心购物功能,比如我们必须与物流服务供应商共享您的订单信息才能安排送货。
(2)第三方商家。我们必须将您的订单信息与交易有关的必要信息与第三方商家或者销售平台共享来实现您向其购买商品或服务的需求,并促使其可以完成后续的售后服务。
4、对我们与之共享信息的公司、组织和个人,我们会与其签署严格的保密协定,要求他们按照我们的说明、本隐私协议以及其他任何相关的保密和安全措施来处理信息。为了保障数据在第三方安全可控。
5、为了遵守法律、执行或适用我们的使用条件和其他协议,或者为了保护平台、您或其他平台全球供应链平台用户的权利及其财产或安全,不过,这并不包括违反本隐私协议中所作的承诺而为获利目的出售、出租、共享或以其它方式披露的信息。
(二)转让
我们不会将您的信息转让给任何公司、组织和个人,但以下情况除外:
1、事先获得您明确的同意或授权;
2、根据适用的法律法规、法律程序的要求、强制性的行政或司法要求所必须的情况进行提供;
3、符合与您签署的相关协议(包括在线签署的电子协议以及相应的平台规则)或其他的法律文件约定所提供;
4、在涉及合并、收购、资产转让或类似的交易时,如涉及到信息转让,我们会向您告知接收方的名称或者姓名和联系方式。接收方将继续履行本政策及其他法定义务。接收方变更原先的处理目的、处理方式的,会重新取得您的同意。
(三)公开披露
我们仅会在以下情况下,公开披露您的个人信息:
1、根据您的需求,在您明确同意的披露方式下披露您所指定的信息;
2、根据法律、法规的要求、强制性的行政执法或司法要求所必需提供您信息的情况下,我们可能会依据所要求的信息类型和披露方式公开披露您的信息。在符合法律法规的前提下,当我们收到上述披露信息的请求时,我们会要求必须出具与之相应的法律文件,如传票或调查函。我们对所有的请求都进行了慎重的审查,以确保其具备合法依据,且仅限于执法部门因特定调查目的且有合法权利获取的数据。
四、我们如何保护和保存您的信息
(一)我们保护您信息的技术与措施
我们非常重视信息安全,并采取一切合理可行的措施,保护您的信息:
1、数据安全技术措施
我们会采用符合业界标准的安全防护措施,包括建立合理的制度规范、安全技术来防止您的信息遭到未经授权的访问使用、修改,避免数据的损坏或丢失。
平台的网络服务采取了传输层安全协议等加密技术,通过https等方式提供浏览服务,确保用户数据在传输过程中的安全。
2、平台为保护信息采取的其他安全措施
平台通过建立数据分类分级制度、数据安全管理规范、数据安全开发规范来管理规范信息的存储和使用。
平台通过信息接触者保密协议、监控和审计机制来对数据进行全面安全控制。
3、我们仅允许有必要知晓这些信息的平台及平台关联方的员工、合作伙伴访问信息,并为此设置了严格的访问权限控制和监控机制。我们同时要求可能接触到您信息的所有人员履行相应的保密义务。如果未能履行这些义务,可能会被追究法律责任或被终止与平台合作关系。
4、我们会采取一切合理可行的措施,确保未收集无关的信息。
5、互联网并非绝对安全的环境,而且电子邮件、即时通讯、社交软件等与其他用户的交流方式无法确定是否完全加密,我们建议您使用此类工具时请使用复杂密码,并注意保护您的信息安全。在通过平台与第三方进行网上产品与/或服务的交易时,您不可避免的要向交易对方或潜在的交易对方披露自己的信息,如联络方式或者邮政地址等。请您妥善保护自己的信息,仅在必要的情形下向他人提供。
6、安全事件处置
为应对信息泄露、损毁和丢失等可能出现的风险,平台制定了多项制度,明确安全事件、安全漏洞的分类分级标准及相应的处理流程。平台也为安全事件建立了专门的应急响应团队,按照安全事件处置规范要求,针对不同安全事件启动安全预案,进行止损、分析、定位、制定补救措施并联合相关部门进行溯源和打击。
一旦发生信息安全事件,我们将按照法律法规的要求,及时向您告知:安全事件的基本情况和可能的影响、我们已采取或将要采取的处置措施、您可自主防范和降低风险的建议、对您的补救措施等。我们同时将及时将事件相关情况以邮件、信函、电话、推送通知等方式告知您,当难以逐一告知信息主体时,我们会采取合理、有效的方式发布公告。同时,我们还将按照监管部门要求,主动上报信息安全事件的处置情况。
7、没有系统是百分比安全的,也没有通过互联网提供的信息可以保证完全安全。因此,我们不能保证您通过互联网向我们发送或从我们接收的任何信息的绝对安全。由于超出我们合理控制范围的情况,我们的系统和您访问我们服务的通信网络可能会出现安全漏洞和故障,导致信息被非授权访问、公开披露、篡改或毁坏,导致您的合法权益受损,我们将在法律范围内承担相应的法律责任。
(二)信息的保存
1、我们在世界各地的多个司法管辖区运营并可能继续运营服务器,因此使用和存储您的数据的服务器可能不在您的司法管辖区内。您在此同意将您的数据传输到对应的服务器所在地,以实现本隐私协议中所述的目的或直接相关的目的。如果您提供与关联方有关的数据,您保证您已获得他们的同意,将其数据转移到传输到对应的服务器所在地,以实现本隐私协议中所述的目的或直接相关的目的。如果进行此类转让,则应按照适用法律的现行要求进行。
我们认真对待您(和关联人士)数据的安全性。我们利用并使用各种行政、技术和实物保障和安全措施,保护数据免受意外、非法或未经授权的破坏、丢失、更改、访问、披露或使用以及任何其他非法形式的处理。例如,在我们的一些服务中,我们将使用加密技术(如SSL)来保护您提供给我们的某些敏感信息。所有数据均受保护,仅限授权人员和分包商使用。
2、在您使用我们的产品与/或服务期间,您的信息将在为了实现本政策所述目的之期限内保存,同时将结合存储地法律有强制的留存要求期限的规定确定。在超出保存期间后,我们会根据适用法律的要求删除您的信息,或进行匿名化处理。
3、如果我们终止服务或运营,我们会至少提前三十日向您通知,并在终止服务或运营后对您的信息进行删除或匿名化处理。

平台非常重视您对信息的关注,并尽全力保护您对于您信息访问、更正、删除以及撤回同意的权利,以使您拥有充分的能力保障您的隐私和安全。您的权利包括:

在以下情形中,您可以向我们提出删除信息的请求:
(1)如果我们处理信息的行为违反法律法规;
(2)如果我们收集、使用您的信息,却未征得您的同意;

请您理解,每个业务功能需要一些基本的信息才能得以完成,当您撤回同意或授权后,我们无法继续为您提供撤回同意或授权所对应的服务,也不再处理您相应的信息。但您撤回同意或授权的决定,不会影响此前基于您的授权而开展的信息处理。
5、响应您的请求
如果您无法通过上述方式访问、更正或删除您的信息,或您需要访问、更正或删除您在使用我们产品与/或服务时所产生的其他信息,或您认为平台存在任何违反法律法规或与您关于信息的收集或使用的约定,您均可以发送电子邮件至it.ecovs@panexwd.com或通过平台的其他方式与我们联系,我们将根据适用法律的现行要求回应您所提出的请求。为了保障安全,我们可能需要您提供书面请求,或提供您的身份证明文件,我们将在收到您反馈并验证您的身份后的15天内答复您的请求。

I. Scope of application

Our products and/or services include core functionality that is necessary to enable online shopping and to secure transactions. We may collect and use the following information about you to fulfill these features. If you do not provide this information, you will not be able to enjoy the products and/or services we offer. These features include:
1. Realize the functions necessary for online shopping
(1) User registration and authentication and forgotten passwords
When you register as a platform user (including suppliers, Resellers, service providers, etc.) you need to provide us with at least the account name you intend to use, password, your own or your company contact's cell phone number, e-mail address (for verification of e-mail), contact address, third-party sales platform and product information, etc., and we will send an SMS verification code or email to verify the validity of your identity. . If you are a supplier, after you have completed your registration, you will need to complete the certification before you can conduct business. In the certification process, we will need you to submit enterprise or company related documents. Including, but not limited to, enterprise/company ID card, passport, company registration certificate, registration number/enterprise credit code, registered address. The platform will review your documents and authentication information to confirm whether the authentication is passed. When you use the \"Forgot Password\" function, we may collect your identity information, including but not limited to your account number, e-mail address, etc., for the purpose of verifying your identity and helping you to reset your account password on the Platform.
(2) Product information display and search
In order to enable you to quickly find the product you are looking for, we may collect information about the device (language setting and region) and browser type from which you use our products and/or services in order to provide you with the best possible way of displaying the product information. We may also use this information in order to continually improve and optimize the features described above.
You can also search to find the exact product or service you are looking for. We will retain your search to allow you to repeat your search or to show you goods or services that are related to your search.
Please note that Device Information, Browser Type or Search Keyword Information alone does not identify you and is not your information, and we have the right to use it for any purpose; only if your Device Information, Browser Type or Search Keyword Information is used in combination with other information about you and can identify you, during the period of such combined use we will treat your Device Information, Browser Type or Search Keyword Information as your information and protect it in accordance with this Privacy Agreement. The payment function itself does not collect your information, but we need to share your platform order number and transaction amount information with these Payment Institutions in order to enable them to confirm your payment instructions and complete the payment.
Meanwhile, in order to complete the settlement of other business scenarios, including but not limited to supplier payment settlement, Reseller refund settlement, service provider commission settlement, logistics fee settlement, etc., we need to collect your payment institution information (such as credit card, bank account, Paypal, Payoneer, etc.), the information includes but is not limited to the account opening bank, the name of the account, the account and so on.
(5) Delivery of products and/or service functions
When you place an order and choose to pay by cash on delivery or complete payment online, the Platform, its affiliates, partners or third-party delivery companies (\"Delivery Companies\") will complete the delivery of your order for you. You acknowledge and agree that your order information will be used in the relevant session to ensure the safe delivery of the goods you have ordered.
(6) Customer service and after-sales service, returns and other functions
We provide you with customer service assistance, including the resolution of your pre-sale, sale, and after-sale customer service within the scope of service and dispute dispute handling applications. For the above purposes, we may be contacting you through online customer service, email, telephone, cell phone SMS push notification. To ensure efficiency, we may, to the extent permitted by law, contact you by automated text message in accordance with the User Agreement and the Terms of Use for Payment.
In order to protect the security of your account and the system, we need you to provide the necessary information to verify the identity of your account.
In order to facilitate contact with you, help you solve the problem as soon as possible or record the solution and result of the handling of the relevant issues, we may keep records of your communication, correspondence/calls with us and the related content (including account information, order information, other information you provide to prove the relevant facts, or contact information you leave), if you make inquiries, complaints or provide suggestions for specific orders, we will If you make an inquiry, complaint or offer advice about a specific order, we will use your account information and order information.
(6) Receive mail notification service

(7)Third-party platform data interoperability
When you use the platform's commodity synchronization, order synchronization, waybill number synchronization, API shipment and other API functions involving third-party platforms (including, but not limited to, third-party sales platforms, third-party logistics platforms, etc.), we will take your authorization individually, and according to the requirements of the third platform authorization to obtain your relevant information, including, but not limited to, domain name, account, password, AppID, AppKey, AppSecret (the information required by different platforms is not the same), in order to realize the interoperability of product data, order data, logistics data, etc. with third-party sales platforms. Without your explicit consent, we will not provide your information to third parties.
(8) You should be fully aware that your authorized consent is not required for us to collect and use information in the following circumstances:

3. We may compile statistics on the use of our products and/or services and may share such statistics with the public or third parties to demonstrate overall trends in the use of our products and/or services. However, these statistics do not contain any identifying information about you.
4、When we display your information, we will use including content replacement, anonymous processing methods to desensitize your information to protect your information security.
5. When we want to use your information for purposes other than those set forth in this Privacy Agreement, or when we use the information collected for a specific purpose for other purposes, we will ask for your express consent in advance. Please understand that the products and/or services we provide to you are subject to change. If you choose to use other products and/or services that are not listed in this Privacy Agreement, we will explain to you in detail the purpose, manner, and scope of the collection of information and ask for your consent before collecting your information by means of an agreement, a page reminder, etc. If you do not consent to the provision of the aforementioned information, we will ask you to provide us with your consent. If you do not agree to provide the aforementioned information, you may not be able to use the product and/or service, but it will not affect your use of existing products and/or services.

(i) Use of Cookies

2. We do not use cookies for any purpose other than those described in this Privacy Agreement. You can manage or delete cookies according to your own preferences, you can clear all cookies stored on your computer, most web browsers will automatically accept cookies, but you can usually modify the settings of your browser to reject cookies according to your own needs, and you can also clear all cookies stored in your software, but if you do so, you may need to change the user settings yourself each time you visit the Platform GSC website, and all the corresponding information you have previously recorded will be deleted, and you will not be able to access the Platform GSC website. However, if you do so, you may need to change the user settings every time you visit the Platform's GSC website, and the corresponding information you have previously recorded will also be deleted, and may have a certain impact on the security of the services you use.
(ii) Log files
We may automatically collect system-related and non-personally identifiable information and store it in log files that are automatically recognized by our web server. This information includes IP address (the unique address that identifies your computer on the internet), browser type, ISP, referring/exit pages, operating system, data/timestamps and clickstream data.
We may use this non-user-identifying information to analyze trends and administer our website or other website content. We do not link this automatically collected information to personally identifiable information.
V. Sharing, transfer and public disclosure of information
(i) Sharing

(6) Provided in accordance with the relevant agreements signed with you (including the electronic agreement signed online and the corresponding platform rules) or other legal documents;
(7) Used on the basis of academic research;
(8) Used in the public interest in accordance with laws and regulations.
2. We may share your information with our affiliates. However, we will only share information that is necessary and subject to the purposes stated in this Privacy Agreement. Our affiliates will ask for your authorization to change the purpose for which the information is processed.
3. We may share your order information, account information, device information and location information with third parties such as partners to ensure the successful completion of the services provided to you. However, we will only share your information for lawful, legitimate, necessary, specific and clear purposes, and will only share the information necessary to provide the products/and or services. Our partners include the following types:
(1) Suppliers of goods, logistics or technical services. We may share your information with suppliers who support our functions. Such support includes supplying us with goods or providing infrastructure technical services, logistics and distribution services, payment services, data processing, etc. We share this information to enable core shopping functions for our products and/or services, such as logistics service providers with whom we must share your order information in order to arrange delivery.
(2) Third-Party Merchants. We must share your order information and transaction-related information with third-party merchants or sales platforms as necessary to fulfill your purchase of goods or services from them and to enable them to perform subsequent after-sales services.
4. We only allow employees and partners of the platform and its affiliates who have a need to know the information to access the information, and have set up strict access control and monitoring mechanisms for this purpose. We also require all personnel who may have access to your information to fulfill the corresponding confidentiality obligations. Failure to fulfill these obligations may result in legal liability or termination of the partnership with the Platform.
4. We will take all reasonably practicable measures to ensure that no irrelevant information is collected.
5. The Internet is not an absolutely secure environment, and e-mail, instant messaging, social software and other means of communication with other users cannot be sure whether they are fully encrypted, we recommend that you use complex passwords when you use such tools and pay attention to the protection of your information security. When trading online products and/or services with third parties through the Platform, you will inevitably have to disclose your information, such as contact details or postal address, to the counterparty or potential counterparty. Please protect your information properly and provide it to others only when necessary.
6. Security incident handling
In order to cope with possible risks such as information leakage, damage and loss, the platform has formulated a number of systems to clarify the classification and grading standards for security events and security breaches and the corresponding handling processes. The platform has also established a specialized emergency response team for security incidents, which, in accordance with the standard requirements for handling security incidents, activates security plans for different security incidents, stops damage, analyzes, locates, formulates remedial measures and joins hands with relevant departments for traceability and combating.
Once an information security incident occurs, we will, in accordance with the requirements of laws and regulations, promptly inform you of: the basic situation and possible impact of the security incident, the disposal measures that we have taken or will take, the suggestions that you can take on your own to prevent and minimize the risks, and the remedial measures to be taken against you. We will also promptly inform you of the situation related to the incident by email, letter, phone call, push notification, etc. When it is difficult to inform the subject of the information one by one, we will take a reasonable and effective way to make a public announcement. At the same time, we will also take the initiative to report the disposition of information security incidents in accordance with the requirements of the regulatory authorities.
7. No system is percentage secure and no information provided over the Internet can be guaranteed to be completely secure. Therefore, we cannot guarantee the absolute security of any information you send to or receive from us over the Internet. Due to circumstances beyond our reasonable control, there may be security breaches and malfunctions in our systems and in the communication networks through which you access our services, resulting in unauthorized access, public disclosure, tampering or destruction of information, leading to damage to your legitimate rights and interests, for which we will be held liable within the scope of the law.
(ii) Preservation of information

You hereby consent to the transfer of your data to the corresponding server location for the purposes described in this Privacy Agreement or for directly related purposes. If you provide data in connection with an Affiliate, you warrant that you have obtained their consent to the transfer of their data to the location of the corresponding server for the purposes described in this Privacy Agreement or directly related purposes. If such transfers are made, they shall be made in accordance with the current requirements of applicable law.
We take the security of your (and associates') data seriously. We utilize and use a variety of administrative, technical and physical safeguards and security measures to protect data from accidental, unlawful or unauthorized destruction, loss, alteration, access, disclosure or use, and any other unlawful forms of processing. For example, in some of our services, we will use encryption technology (such as SSL) to protect certain sensitive information you provide to us. All data is protected and restricted to authorized personnel and subcontractors.
2. During your use of our products and/or services, your information will be stored for the period of time necessary to fulfill the purposes described in this policy, which will be determined in conjunction with the mandatory period of retention requirements under the laws of the place of storage. After the retention period has elapsed, we will delete or anonymize your information as required by applicable law.

The Platform takes your concerns about your information seriously and makes every effort to protect your rights to access, correct, delete and withdraw consent to your information so that you have full ability to safeguard your privacy and security. Your rights include:

In the following cases, you may make a request to us to delete information:
(1) If our handling of information violates laws and regulations;
(2) If we collect or use your information without your consent;
(3) If we process information in breach of our agreement with you;
(4) If we terminate the Services and operations.
If we decide to respond to your deletion request, we will also notify the entities that obtained your information from us at the same time and ask them to delete it promptly, unless otherwise required by law or regulation, or unless those entities have been independently authorized by you. If we respond to your deletion request, we cannot guarantee that the corresponding information will be deleted from the backup system immediately, but will delete the information when the backup system is updated.
3. Change the scope of your authorized consent or withdraw your authorization
You may change the extent of your authorization for us to continue to collect information or revoke your authorization by deleting the information, turning off the device's features for privacy settings, and so on. You may also withdraw all authorization for us to continue to collect information about you by canceling your account.
4.Removal of third-party platform authorization
You can cancel the authorization of third-party platforms, including third-party sales platforms, third-party logistics platforms and other third-party platforms acquired by the platform, by removing the authorization and other functions.
Please understand that each business function requires some basic information in order to complete, when you withdraw your consent or authorization, we can not continue to provide you with the services corresponding to the withdrawal of consent or authorization, and no longer process your corresponding information. However, your decision to withdraw your consent or authorization will not affect the processing of information previously carried out based on your authorization.
5. Responding to your request
If you are unable to access, correct or delete your information by the means described above, or if you need to access, correct or delete other information generated by your use of our products and/or services, or if you believe that there is any violation of laws or regulations or agreements with you regarding the collection or use of information on the Platform, you can e-mail it.ecovs@panexwd.com or through the Platform's other Contact us and we will respond to your request in accordance with the current requirements of applicable law. For security purposes, we may require you to provide us with a written request or to provide documentation of your identity, and we will respond to your request within 15 days of receiving your feedback and verifying your identity.
In the following cases, as required by law or regulation, we will not be able to respond to your request:
(1) Related to the fulfillment of the obligations of information controllers under laws and regulations;
(2) Those related to national security and national defense security;
(3) Related to public safety, public health, and significant public interest;
(4) In connection with criminal investigations, prosecutions, trials and enforcement of sentences;
(5) If there is sufficient evidence of subjective malice or abuse of your rights;
(6) When it is difficult to obtain the consent of the person concerned for the purpose of safeguarding the vital legitimate rights and interests of the subject of the information or other individuals, such as life and property;
(7) Responding to your request will lead to serious damage to the legitimate rights and interests of you or other individuals or organizations;
(8) Involving trade secrets.
VII. Protection of minors' information
In e-commerce activities we presume that you have the appropriate civil capacity. We recognize that it is the responsibility of the parent or guardian to supervise a child's use of our products or services. However, we do not provide services directly to children or use children's information for marketing purposes.
If you are a parent or guardian and you believe that a Minor has submitted information to the Platform, can be done by it.ecovs@panexwd.com contacts to ensure that such information is immediately deleted and that the Minor's subscription to any applicable Platform Services is canceled.
VIII. Notifications and amendments
1. In order to provide you with better services and with the development of the business of the Platform, this Privacy Agreement will be updated. We will remind you of the update by issuing the updated version on the Platform and through website announcements or other appropriate means before it comes into effect, and we also invite you to visit the Platform in order to keep abreast of the latest Privacy Agreement.
2. For major changes, we will also provide a more prominent notice (we will explain the specific changes to the privacy agreement by means including, but not limited to, emails or special notices on the browsing page).
Material changes within the meaning of this Privacy Agreement include, but are not limited to:
(1) Significant changes in our service model. For example, the purpose for which information is processed, the type of information processed, and how the information is used;
(2) Significant changes in our ownership structure, organizational structure, etc. For example, changes in ownership due to business restructuring, bankruptcy and mergers and acquisitions, etc;
(3) Changes in the primary recipients of information sharing, transfer or public disclosure;
(4) Significant changes in your rights to participate in the processing of information and the manner in which you exercise them;
(5) In the event of a change in the department responsible for handling information security, our contact information and complaint channels;
(6) When the information security impact assessment report indicates a high risk.
